Official Corporate Governance Framework

Applicable to ORO TECHNOLOGIES LLC, its subsidiaries, affiliates, controlled entities, authorized operators, and all entities forming part of the ORO Corporate Group, where applicable.

I. CORPORATE DECLARATION

ORO TECHNOLOGIES LLC is a global technology holding company dedicated to the research, design, development, operation, maintenance, and continuous improvement of digital platforms, software solutions, accessibility technologies, artificial intelligence systems, cloud-based infrastructures, voice-enabled technologies, and other innovative digital services intended to facilitate secure interactions between independent participants within a technology-driven ecosystem.

The Organization conducts its business activities under a corporate governance model founded upon the principles of integrity, transparency, regulatory compliance, responsible innovation, information security, privacy protection, accessibility, ethical business practices, accountability, and continuous improvement, recognizing that sustainable technological growth requires a permanent commitment to legal certainty, operational resilience, and responsible corporate management.

The Corporate Governance, Compliance & Trust Center serves as the Organization's official institutional framework describing the principles governing its corporate structure, compliance program, technological governance, risk management philosophy, and public commitments regarding responsible platform operations.

This document establishes the governance architecture supporting the ORO Corporate Group and explains how the Organization integrates its legal policies, operational standards, technological controls, internal procedures, and corporate governance mechanisms into a unified compliance framework designed to promote transparency, accountability, and long-term sustainability.

This Framework shall be interpreted together with all additional corporate policies, including, where applicable, the Organization's Terms and Conditions, Privacy Policy, Accessibility Policy, Artificial Intelligence Policy, Safety & Emergency Communications Policy, Community Guidelines, Acceptable Use Policy, Intellectual Property Policy, Information Security Standards, and any other official corporate documents published by the Organization.

Nothing contained herein shall be interpreted as replacing or limiting the legal effect of any individual policy. Rather, this Framework provides the institutional context within which all corporate policies operate collectively as part of a single governance ecosystem.

Recognizing the rapidly evolving nature of digital technologies, artificial intelligence, cybersecurity risks, international regulations, and user expectations, the Organization continuously reviews, updates, and strengthens its governance model to maintain consistency with applicable laws, internationally recognized corporate governance principles, responsible technology practices, and evolving industry standards.

The Organization believes that trust is earned through transparency, accountability, responsible innovation, and consistent compliance with the legal and ethical obligations applicable to every aspect of its business operations.

II. CORPORATE IDENTITY

ORO TECHNOLOGIES LLC serves as the parent holding company of the ORO Corporate Group, providing strategic direction, corporate governance, technological leadership, intellectual property management, and institutional oversight for the entities operating under its corporate structure.

The Organization may conduct business activities through subsidiaries, affiliates, controlled entities, regional companies, locally incorporated entities, or other legally established organizations operating in accordance with the laws of their respective jurisdictions.

Each legal entity forming part of the ORO Corporate Group maintains its own independent legal personality, assets, liabilities, corporate governance obligations, tax responsibilities, regulatory compliance duties, and operational management, except where otherwise expressly established by applicable law or legally binding corporate agreements.

The corporate structure has been designed to promote operational flexibility while maintaining unified governance principles, common technological standards, centralized protection of intellectual property, coordinated compliance oversight, consistent security practices, and harmonized corporate policies throughout the Organization.

The participation of subsidiaries, affiliates, independent service providers, technology partners, contractors, consultants, security companies, payment processors, cloud providers, educational institutions, or any other third-party organization within the ORO ecosystem shall not be interpreted as creating an employment relationship, partnership, joint venture, agency, franchise, or representative capacity unless expressly established through separate legally binding agreements.

Each participating entity remains solely responsible for its own legal, regulatory, operational, financial, tax, employment, contractual, and administrative obligations arising under the laws applicable to its respective jurisdiction.

The Organization maintains centralized governance standards while respecting the legal independence and operational autonomy of each participating entity, thereby ensuring consistency across the corporate ecosystem without compromising jurisdiction-specific regulatory compliance.

III. TECHNOLOGY PLATFORM BUSINESS MODEL

The ORO Corporate Group develops, operates, and continuously improves proprietary technology platforms intended to facilitate secure digital interactions between independent participants through innovative software, cloud-based infrastructure, voice-enabled technologies, accessibility solutions, artificial intelligence components, and other digital services.

The Organization's primary business activity consists exclusively of the development, licensing, operation, maintenance, and enhancement of technological infrastructure. The Organization's products are designed to enable communication, coordination, accessibility, information exchange, and digital interaction through software-based environments while promoting safety, inclusion, operational efficiency, and responsible innovation.

ORO TECHNOLOGIES LLC and its affiliated entities are technology companies. They are not transportation companies, logistics operators, courier services, security providers, emergency response organizations, healthcare providers, insurance companies, financial institutions, telecommunications carriers, public authorities, or law enforcement agencies.

The Organization provides technological infrastructure that enables independent participants to communicate and interact through digital platforms. The services ultimately offered through or in connection with the Platform may be performed by legally independent third parties operating under their own legal responsibility, regulatory obligations, professional qualifications, licenses, permits, certifications, insurance requirements, and contractual relationships.

Accordingly, the Organization does not own or operate transportation fleets, delivery fleets, emergency response units, medical services, security companies, or operational personnel responsible for performing the services made available through the Platform.

Whenever the Platform facilitates interactions involving transportation, mobility, delivery, accessibility assistance, communication, emergency notification, or other technology-enabled services, such activities remain the exclusive responsibility of the respective independent third-party service providers participating within the ecosystem.

The Organization neither exercises operational control over the day-to-day execution of independently provided services nor assumes responsibility for decisions, actions, omissions, representations, licenses, permits, insurance coverage, operational procedures, or regulatory compliance obligations belonging to independent providers, except to the extent expressly required by applicable law.

The technological nature of the Platform shall remain unchanged regardless of future functional expansions, additional service categories, jurisdiction-specific adaptations, accessibility enhancements, artificial intelligence integrations, or technological innovations incorporated into the Platform over time.

IV. DIGITAL ECOSYSTEM STRUCTURE

The ORO Platform operates as an integrated digital ecosystem composed of multiple independent participants interacting through technology developed and maintained by the Organization.

Depending upon the nature of each service, participants within the ecosystem may include, among others, end users, independent service providers, authorized operators, technology partners, payment service providers, cloud infrastructure providers, mapping services, communication providers, accessibility technology providers, identity verification providers, educational institutions, corporate clients, public entities, emergency service partners, security organizations, and other legally independent third parties.

Each participant acts within its own legal capacity and remains solely responsible for complying with the laws, regulations, contractual obligations, licensing requirements, tax obligations, insurance obligations, and professional responsibilities applicable to its activities.

The existence of technological interoperability between participants shall not be interpreted as creating any partnership, agency, employment relationship, joint venture, franchise, representative capacity, fiduciary relationship, or legal dependency among participants unless expressly established by separate written agreements executed by the parties concerned.

The Platform functions exclusively as a technological environment facilitating authorized digital interactions while preserving the legal independence of every participant within the ecosystem.

The Organization may establish technical eligibility requirements, onboarding procedures, verification processes, security controls, operational standards, and compliance measures designed to protect the integrity, security, reliability, accessibility, and lawful operation of the Platform. Such measures shall not be interpreted as creating supervisory control over the independent business activities conducted by third parties outside the technological environment provided by the Organization.

Participation within the Platform constitutes acceptance of the applicable contractual framework governing the relationship between the Organization and each participant, including all policies incorporated by reference into the Platform's legal ecosystem.

V. TECHNOLOGICAL INDEPENDENCE AND OPERATIONAL LIMITATIONS

The Organization's technological infrastructure is designed to facilitate digital communication, information exchange, accessibility services, automation, artificial intelligence functionalities, voice interaction, and other technology-based capabilities intended to improve the user experience while preserving operational independence among ecosystem participants.

The availability of technological features shall not be interpreted as guaranteeing the availability, quality, legality, suitability, timeliness, uninterrupted performance, regulatory compliance, or successful completion of any independently provided service.

The Organization does not supervise, direct, employ, control, or manage the operational activities performed independently by third parties outside the technological functions expressly provided through the Platform.

Users remain responsible for exercising their own judgment when interacting with independent participants and should evaluate any service based upon the information available at the time of each interaction.

Nothing contained within the Platform shall be interpreted as creating fiduciary duties, professional advisory relationships, operational guarantees, or performance obligations beyond those expressly assumed by the Organization under its published legal documentation.

The Organization reserves the right to suspend, restrict, modify, discontinue, or enhance technological functionalities whenever necessary to preserve security, regulatory compliance, operational integrity, user protection, system reliability, or technological performance.

VI. CORPORATE COMPLIANCE FRAMEWORK

The Organization maintains a comprehensive corporate compliance program designed to promote lawful, ethical, transparent, and responsible business operations throughout the ORO Corporate Group.

Corporate compliance is recognized as a continuous governance function integrated into the Organization's strategic decision-making, operational management, software development lifecycle, information security practices, contractual relationships, corporate policies, and risk management processes.

The Organization is committed to conducting its activities in accordance with the laws and regulations applicable to the jurisdictions in which it operates, while continuously monitoring legal developments that may affect its business model, digital services, technological infrastructure, or corporate governance practices.

Compliance responsibilities extend across all levels of the Organization and are incorporated into internal policies, operational procedures, contractual documentation, corporate decision-making processes, software development methodologies, technology governance practices, and relationships with third-party service providers.

The Organization periodically reviews its legal documentation, operational controls, technological safeguards, and governance mechanisms to promote consistency, accountability, transparency, and responsible business conduct throughout its global operations.

Corporate compliance is not regarded as a static obligation but as an ongoing institutional commitment intended to support sustainable growth, responsible innovation, user confidence, operational resilience, and long-term corporate integrity.

VII. REGULATORY COMPLIANCE

The Organization recognizes that technology companies operating across multiple jurisdictions are subject to diverse legal and regulatory requirements. Accordingly, the Organization develops its policies, procedures, and technological infrastructure with the objective of supporting compliance with applicable legal obligations wherever its services are made available.

The Organization's compliance program is designed to address matters relating to, among others:

The Organization acknowledges that regulatory requirements may vary between jurisdictions. Consequently, corporate policies may be supplemented by jurisdiction-specific procedures, notices, disclosures, contractual provisions, or operational controls whenever necessary to address applicable local legal requirements.

Nothing contained within this Framework shall be interpreted as limiting the Organization's authority to implement additional compliance measures whenever deemed necessary to protect users, preserve the integrity of the Platform, respond to regulatory developments, or strengthen corporate governance.

VIII. RESPONSIBLE ARTIFICIAL INTELLIGENCE AND ACCESSIBILITY GOVERNANCE

Innovation constitutes one of the fundamental principles guiding the development of the Organization's technology. At the same time, the Organization recognizes that technological innovation must be accompanied by responsible governance, ethical decision-making, transparency, and respect for fundamental rights.

Artificial intelligence functionalities incorporated into the Platform are developed and implemented to enhance user experience, improve accessibility, facilitate communication, increase operational efficiency, and support the secure operation of digital services.

The Organization is committed to designing artificial intelligence technologies in a manner that promotes fairness, accountability, transparency, privacy protection, cybersecurity, accessibility, and responsible technological development.

Artificial intelligence is intended to assist users and authorized participants by supporting technological processes. Unless expressly indicated within a specific service, artificial intelligence functionalities are not intended to replace professional judgment, legal advice, medical advice, emergency services, law enforcement activities, financial advice, or decisions requiring human authority under applicable law.

The Organization continuously evaluates the performance, limitations, risks, and appropriate use of artificial intelligence components as part of its ongoing technology governance and risk management activities.

Accessibility remains a core element of the Organization's innovation strategy. The Platform is designed to reduce barriers affecting individuals who may experience limitations when interacting with traditional digital interfaces, including older adults and individuals with disabilities.

The Organization strives to incorporate accessibility principles into the design, development, testing, deployment, and continuous improvement of its technologies, recognizing that accessibility represents an ongoing process of innovation and enhancement rather than a single technical achievement.

X. INFORMATION SECURITY & CYBERSECURITY GOVERNANCE

Information security is integrated into the design, development, deployment, operation, and continuous improvement of the Organization's digital platforms through administrative, organizational, contractual, and technical safeguards intended to reduce operational risks and support the secure delivery of technology services.

Security considerations are incorporated throughout the software development lifecycle, infrastructure management processes, access control procedures, data handling practices, incident response activities, and relationships with third-party technology providers.

The Organization continuously evaluates emerging cybersecurity risks, technological developments, operational vulnerabilities, and evolving industry practices in order to strengthen its security posture and improve the resilience of its digital infrastructure.

While the Organization endeavors to implement reasonable and appropriate security measures consistent with the nature of its services, no technological environment can guarantee absolute protection against every cyber threat, unauthorized access, system failure, malicious activity, or unforeseen security event. Users and third parties likewise share responsibility for maintaining the security of their own devices, credentials, communication channels, and digital environments.

The Organization reserves the right to implement additional security controls, authentication mechanisms, monitoring procedures, operational restrictions, or emergency measures whenever reasonably necessary to preserve the integrity, availability, confidentiality, or lawful operation of the Platform.

XI. PRIVACY & RESPONSIBLE DATA GOVERNANCE

The Organization is committed to promoting responsible data governance through principles of lawfulness, transparency, proportionality, accountability, security, and respect for individual privacy.

Personal information is processed only for legitimate business purposes associated with the operation, maintenance, security, accessibility, improvement, and lawful administration of the Organization's digital services, in accordance with the applicable Privacy Policy and relevant legal requirements.

Data governance extends beyond regulatory compliance and forms part of the Organization's broader commitment to responsible technology development, ethical business conduct, and user trust.

The Organization endeavors to limit the collection, use, retention, and disclosure of information to what is reasonably necessary for the operation of its services, while implementing appropriate safeguards designed to protect information against unauthorized access, misuse, alteration, accidental disclosure, or unlawful processing.

Where applicable, users may exercise the rights provided under the laws governing the protection of personal information within their respective jurisdictions, subject to the conditions and limitations established by applicable legislation.

XII. THIRD-PARTY GOVERNANCE

The Organization collaborates with a variety of independent third parties whose services may contribute to the operation, security, functionality, accessibility, scalability, or performance of the Platform.

Such third parties may include, without limitation, cloud infrastructure providers, payment processors, communication service providers, mapping and geolocation providers, identity verification services, accessibility technology providers, educational institutions, professional advisors, software vendors, security companies, emergency communication partners, regulatory consultants, financial institutions, and other specialized organizations.

Each third party remains independently responsible for its own legal compliance, operational practices, contractual obligations, licenses, certifications, insurance, and regulatory responsibilities.

The Organization may conduct reasonable due diligence, contractual reviews, technical evaluations, operational assessments, or other appropriate verification procedures before integrating or collaborating with third-party providers. Such evaluations are intended to support responsible governance and risk management and shall not be interpreted as assuming responsibility for the independent activities or legal obligations of those third parties.

Where third-party services are integrated into the Platform, users acknowledge that certain functionalities may be subject to additional terms, privacy notices, operational limitations, or legal requirements established by the respective third-party provider.

The Organization reserves the right to modify, suspend, replace, discontinue, or introduce third-party integrations whenever reasonably necessary to improve security, regulatory compliance, technological performance, operational resilience, or user experience.

XIII. EMERGENCY COMMUNICATIONS FRAMEWORK

The Organization may incorporate technological features designed to facilitate emergency communications or safety-related notifications within certain services made available through the Platform.

Such functionalities are intended solely to support the transmission of information, facilitate digital communication, or enable users to notify designated third parties during circumstances in which emergency communication may be appropriate.

The availability of emergency communication functionalities shall not be interpreted as establishing the Organization as an emergency response provider, public safety agency, law enforcement authority, medical service provider, ambulance service, rescue organization, fire department, disaster response entity, or private security company.

Where available, emergency alerts generated through the Platform may be transmitted to independent third-party organizations, authorized emergency communication partners, or designated recipients previously configured within the applicable service, subject to technical availability, network connectivity, user permissions, and operational conditions existing at the time of transmission.

Any subsequent assessment, verification, prioritization, dispatch, coordination, emergency response, or communication with governmental authorities shall be performed exclusively by the competent third parties responsible for such activities under the applicable laws and operational procedures governing their services.

The Organization neither directs nor supervises the operational decisions, emergency protocols, response times, personnel, equipment, or actions undertaken by independent emergency communication partners or governmental authorities.

The availability of emergency communication features does not constitute a guarantee that emergency assistance will be requested, received, dispatched, initiated, coordinated, or successfully completed in every circumstance.

Users remain responsible for contacting local emergency services directly whenever immediate assistance is required or whenever circumstances reasonably permit direct communication with the competent authorities.

The Organization continuously evaluates opportunities to improve technological support for emergency communications while recognizing that emergency response operations remain under the exclusive responsibility of the organizations legally authorized to perform such services.

XIV. SAFE VOICE TECHNOLOGY PRINCIPLES

The Organization has developed voice-enabled technologies intended to enhance accessibility, facilitate digital interaction, and improve the user experience through responsible implementation of voice-based functionalities.

Safe Voice technologies are designed to operate as accessibility-oriented technological tools supporting communication between users and the Platform. Their implementation seeks to reduce interaction barriers, particularly for older adults, individuals with disabilities, and users who may benefit from voice-assisted technologies.

Voice-enabled functionalities are intended solely for the purposes described within the applicable service documentation and shall not be interpreted as continuous surveillance systems, audio monitoring services, emergency response systems, or technologies intended to replace direct communication with competent authorities or emergency services.

The design, implementation, operation, and continuous improvement of Safe Voice technologies are guided by the Organization's broader commitments to privacy, accessibility, responsible innovation, information security, and lawful processing of information.

XV. ENTERPRISE RISK MANAGEMENT

The Organization recognizes that effective risk management is an essential component of sound corporate governance and sustainable technological development.

Enterprise risks are identified, evaluated, monitored, and managed through governance processes designed to support informed decision-making, operational resilience, business continuity, regulatory compliance, information security, financial integrity, and responsible innovation.

Risk management activities may address, among others, operational, technological, cybersecurity, legal, regulatory, contractual, financial, reputational, strategic, privacy, accessibility, artificial intelligence, third-party, and business continuity risks.

The Organization periodically reviews its internal controls, governance practices, operational procedures, contractual safeguards, and technological infrastructure in order to strengthen organizational resilience and support the long-term sustainability of the ORO Corporate Group.

Risk management is integrated into the Organization's strategic planning and operational activities and is intended to promote continuous improvement rather than eliminate all possible risks, recognizing that innovation inherently involves responsible risk assessment and management.

XVI. INTELLECTUAL PROPERTY GOVERNANCE

The Organization recognizes intellectual property as one of its most valuable corporate assets and is committed to protecting the technologies, software, proprietary methodologies, documentation, trademarks, copyrights, databases, trade secrets, designs, algorithms, voice technologies, artificial intelligence developments, and other intellectual property rights owned, licensed, or lawfully controlled by the ORO Corporate Group.

Unless otherwise expressly provided by applicable law or written agreement, all intellectual property associated with the Organization's platforms, software, documentation, interfaces, technological developments, corporate materials, branding, and related assets remains the exclusive property of the respective rights holder.

The Organization actively promotes lawful use of intellectual property while respecting the rights of third parties and expects all users, contractors, partners, service providers, employees, consultants, and other participants interacting with the Organization to respect applicable intellectual property laws and contractual obligations.

Unauthorized reproduction, distribution, modification, reverse engineering where prohibited by law or contract, commercial exploitation, or other unlawful use of the Organization's intellectual property may result in the exercise of available contractual, administrative, civil, or other legal remedies.

XVII. GOVERNANCE OVERSIGHT

The Board of Directors, senior management, corporate officers, or other authorized governing bodies of the Organization, as applicable, are responsible for overseeing the implementation, effectiveness, and continuous improvement of the Organization's corporate governance and compliance framework.

Oversight responsibilities include monitoring legal developments, reviewing corporate policies, evaluating organizational risks, promoting ethical business conduct, supporting responsible innovation, and strengthening governance practices throughout the Organization.

Management may delegate specific operational responsibilities relating to compliance, information security, privacy, accessibility, technology governance, risk management, or other specialized functions to appropriately qualified internal teams or independent external advisors, without relinquishing ultimate governance responsibility.

The Organization encourages a culture of accountability, transparency, integrity, collaboration, and continuous learning across all levels of its corporate structure.

XVIII. DOCUMENT REVIEW AND AMENDMENTS

This Corporate Governance Framework may be reviewed, updated, amended, supplemented, or replaced by the Organization whenever necessary to reflect changes in applicable laws, regulatory requirements, technological developments, operational practices, corporate structure, business strategy, industry standards, or other circumstances considered relevant by the Organization.

Updated versions shall become effective upon publication or on the effective date specified within the revised document, unless otherwise required by applicable law.

The Organization reserves the right to issue complementary policies, guidelines, operational standards, technical documentation, implementation procedures, jurisdiction-specific notices, or other governance instruments that support or expand the principles established within this Framework.

Nothing contained in this Framework shall prevent the Organization from adopting additional governance measures intended to strengthen compliance, improve operational resilience, protect users, safeguard corporate assets, or support responsible technological innovation.

XIX. INTERPRETATION

This Corporate Governance Framework shall be interpreted in a manner consistent with the Organization's corporate governance principles, applicable laws, contractual obligations, technological nature, and institutional objectives.

The provisions contained herein are intended to complement, and shall be read together with, the Organization's Terms and Conditions, Privacy Policy, Accessibility Policy, Artificial Intelligence Policy, Safety & Emergency Communications Policy, Community Guidelines, Acceptable Use Policy, Intellectual Property Policy, Information Security Standards, and any other official corporate policies or legal documents published by the Organization.

In the event of any inconsistency between this Framework and a specific agreement executed between the Organization and a particular individual or entity, the provisions of such written agreement shall prevail solely with respect to the matters expressly governed therein, unless otherwise prohibited by applicable law.

Nothing contained within this Framework shall be interpreted as creating contractual rights, employment relationships, agency relationships, partnerships, fiduciary duties, joint ventures, guarantees, warranties, or obligations beyond those expressly assumed by the Organization under applicable law or binding written agreements.

If any provision of this Framework is determined by a court or competent governmental authority to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.

The Organization's failure to enforce any provision of this Framework shall not constitute a waiver of any right or remedy available under applicable law or contract.

This Framework shall be interpreted in accordance with the technological nature of the Organization, recognizing that ORO TECHNOLOGIES LLC develops and operates digital platforms and related technologies and does not directly perform the independent services that may be facilitated through such technological infrastructure.

XX. CORPORATE COMMITMENT

ORO TECHNOLOGIES LLC is committed to building technology that promotes innovation, accessibility, integrity, transparency, responsible governance, and long-term public trust.

This Corporate Governance Framework constitutes an official corporate policy of ORO TECHNOLOGIES LLC and forms part of the Organization's global governance structure.

This Framework applies, where appropriate, to the Organization, its subsidiaries, affiliates, controlled entities, authorized operators, contractors, consultants, technology partners, independent service providers, and other participants whose activities are governed by the applicable corporate policies or contractual arrangements of the ORO Corporate Group.

The Organization reserves the right to amend, supplement, replace, or update this Framework at any time in accordance with its governance procedures and applicable legal requirements.

The most current version published by the Organization shall supersede all previous versions to the extent permitted by applicable law.
