ORO TECHNOLOGIES LLC – GLOBAL DIGITAL PLATFORM

This document constitutes a specific service annex (the “Annex”) and forms an integral part of the Global Terms & Conditions of Oro Technologies LLC.
In case of conflict, the Global Terms & Conditions shall prevail.

1. CONTRACTUAL RELATIONSHIP

These Terms and Conditions (the “Terms”) govern the access to and use by you (the “User” or “you”), as an individual, of applications, websites, content, products, and services (collectively, the “Services”) made available by ORO TECHNOLOGIES LLC, a limited liability company duly incorporated under the laws of the United States, with registered address at 16425 Greenwood Forest Dr., Clewiston, Florida, USA (the “Company” or “ORO”).

By accessing or using the Services, you expressly acknowledge and agree to be legally bound by these Terms, which establish a binding contractual and commercial relationship between you and ORO. If you do not agree to these Terms, you may not access or use the Services.

These Terms expressly supersede any prior agreements or arrangements between you and ORO or any of its affiliates.

ORO reserves the right, at its sole discretion, to terminate these Terms or any Services with respect to you, or to deny access to the Services or any portion thereof, at any time and for any reason.

For purposes of these Terms, any reference to “driver,” “transport provider,” or similar shall be understood as referring to independent third-party service providers, not employed by ORO.

Additional terms, policies, or conditions may apply to specific Services, promotions, or features. Such additional terms shall be deemed an integral part of these Terms and shall prevail in the event of conflict with respect to the applicable Service.

ORO may amend these Terms at any time. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.

The collection and use of personal data are governed by ORO’s Privacy Policy.

1.1 Protected Parties

For purposes of these Terms, references to ORO shall include ORO TECHNOLOGIES LLC, its parent entities, subsidiaries, affiliates, licensors, technology partners, contractors, service providers, officers, directors, shareholders, members, managers, employees, agents, successors, and assigns (collectively, the "Protected Parties").

Any limitation of liability, disclaimer, waiver, release, indemnification, arbitration provision, or protection contained in these Terms shall apply equally to all Protected Parties to the maximum extent permitted by applicable law.

2. NATURE OF THE SERVICES

The Services constitute a global digital technology intermediation platform, operating under a voice-first architecture, designed to enable users to request, coordinate, and manage services provided by independent third parties.

ORO DOES NOT PROVIDE TRANSPORTATION SERVICES, DELIVERY SERVICES, OR ANY PHYSICAL SERVICE WHATSOEVER.

All such services are provided exclusively by independent contractors, who are not employees, agents, or representatives of ORO.

You expressly acknowledge that:

  • ORO acts solely as a technology intermediary platform

  • No employment, agency, or partnership relationship exists between ORO and third-party providers

  • Any service received is the sole responsibility of the third-party provider

2.1 No Guarantee of Service Availability or Provider Acceptance

ORO does not guarantee the availability, continuity, responsiveness, legality, quality, timing, suitability, accessibility level, or successful completion of any service request submitted through the Platform.

The availability of services depends entirely on independent third-party provider participation, geographic coverage, operational conditions, accessibility limitations, network availability, local regulations, technical functionality, and real-time marketplace dynamics.

Users expressly acknowledge that:

No independent provider is obligated to accept any request

Specialized, accessibility-oriented, or voice-assisted services may not be available in all regions or at all times

Matching between users and providers is not guaranteed

Service interruptions, delays, cancellations, or unavailability may occur without prior notice

Failure to obtain service shall not constitute breach of contract, operational failure, or liability by ORO.

To the maximum extent permitted by applicable law, ORO expressly disclaims all liability arising from unavailable services, rejected requests, delayed matching, or provider non-participation.

2.2 Accessibility-Oriented Design and User Autonomy

The Services have been developed under an accessibility-oriented and voice-first technological architecture intended to reduce barriers commonly experienced by elderly individuals, persons with disabilities, users with reduced mobility, users with limited digital literacy, and individuals seeking safer and more convenient methods of interacting with digital platforms.

The voice-based structure of the Platform is designed to reduce unnecessary screen interaction, simplify navigation, facilitate communication, and promote user autonomy.

The availability of voice-assisted functionalities, estimated arrival information, accessibility-oriented communications, location-sharing tools, automated notifications, and coordination features is intended solely to improve usability and convenience.

Nothing within the Platform shall be interpreted as creating any guarantee of personal safety, accident prevention, crime prevention, transportation safety, service success, user conduct, provider conduct, emergency response effectiveness, or elimination of risks associated with real-world interactions.

Users remain solely responsible for exercising independent judgment, situational awareness, and reasonable precautions appropriate to their circumstances.

2.3 No Operational Control Over Services

ORO does not supervise, direct, monitor, control, manage, instruct, or assume responsibility for the manner, method, route, timing, execution, legality, quality, safety, accessibility, or completion of any transportation, mobility, delivery, logistics, or other service provided by independent third-party providers.

Once a connection is established through the Platform, all decisions regarding service execution remain exclusively under the control and responsibility of the participating independent provider and user.

Nothing within the Platform shall be interpreted as granting ORO authority over operational activities performed by independent third parties.

2.4 Accessibility Mission and Platform Design Philosophy

The Platform has been designed to reduce technological barriers commonly experienced by elderly individuals, persons with disabilities, users with reduced mobility, users with limited digital literacy, and users seeking safer and more convenient digital interaction methods.

The voice-first architecture, accessibility-oriented workflows, hands-free functionalities, simplified navigation systems, estimated arrival announcements, quick-message tools, and communication features are intended solely to improve usability, convenience, accessibility, inclusion, and user autonomy.

Such design choices shall not be interpreted as creating any representation, warranty, guarantee, certification, or assurance regarding transportation safety, criminal prevention, accident prevention, emergency response effectiveness, user conduct, provider conduct, or the elimination of risks associated with real-world activities.

3. VOICE-FIRST SYSTEM AND ACCESSIBILITY

The Platform operates under a voice-first model, prioritizing accessibility, inclusion, and usability, particularly for:

  • Elderly users

  • Persons with disabilities

  • Users with visual or technological limitations

You acknowledge that:

  • Interaction with the Platform is primarily voice-based

  • Certain functionalities depend on voice recognition systems

  • Voice interaction is an essential structural component of the Service

ORO does not record or store conversations, but may process voice commands in real time.

You expressly accept that:

  • Voice recognition systems are inherently probabilistic

  • Errors, misinterpretations, or unintended activations may occur

  • External factors (noise, device quality, connectivity) may affect performance

3.1 Accessibility Technology Disclaimer

While ORO develops and implements accessibility-oriented technologies, voice-interaction systems, artificial intelligence functionalities, and inclusion-focused interface designs, ORO does not warrant or guarantee uninterrupted accessibility, universal compatibility, error-free voice recognition, or suitability for all disabilities, medical conditions, assistive technologies, devices, operating systems, environments, or jurisdictions.

Accessibility performance may vary depending on:

Hardware limitations

Operating systems

Network conditions

Environmental interference

Third-party technologies

Speech conditions

Language variations

Device configurations

Regional infrastructure limitations

Users expressly acknowledge that accessibility technologies are inherently subject to operational limitations and do not replace human assistance, supervision, independent judgment, medical care, or emergency services.

3.2 No Special Duty of Care

The existence of accessibility-oriented technologies, inclusion-focused design principles, voice-assisted functionalities, simplified user interfaces, or features intended to facilitate participation by elderly individuals, persons with disabilities, or users with limited digital literacy shall not create, expand, increase, or otherwise modify any duty of care, fiduciary obligation, custodial responsibility, supervisory responsibility, healthcare obligation, protective obligation, special relationship, or heightened legal duty on the part of ORO.

Accessibility functionalities are provided solely as technological tools intended to facilitate interaction with the Platform and shall not be interpreted as creating any obligation to monitor user welfare, verify user capacity, supervise user conduct, provide personal assistance, guarantee transportation safety, prevent criminal conduct, or protect users from risks inherent in real-world interactions involving independent third parties.

3.3 Artificial Intelligence and Automated Systems Disclaimer

The Platform may utilize artificial intelligence technologies, automated decision-support systems, speech-recognition systems, natural language processing technologies, predictive models, recommendation systems, automated communications, and machine-learning functionalities.

Users acknowledge that artificial intelligence technologies are probabilistic in nature and may generate inaccurate, incomplete, delayed, unintended, or incorrect outputs.

Artificial intelligence functionalities are provided solely as technological tools intended to facilitate accessibility, communication, and operational efficiency.

ORO does not guarantee the accuracy, reliability, completeness, appropriateness, legality, or suitability of any AI-generated output and expressly disclaims liability arising from reliance upon automated outputs to the maximum extent permitted by law.

4. USER ACCOUNT AND OBLIGATIONS

To access the Services, you must register and maintain an active user account.

You agree to:

  • Provide accurate, complete, and updated information

  • Maintain confidentiality of your credentials

  • Be responsible for all activity under your account

You must be at least 18 years old.

You agree not to:

  • Transfer your account

  • Use the Services unlawfully

  • Interfere with the Platform’s operation

  • Access data without authorization

4.1 Account Security and Cybersecurity Responsibilities

Users are responsible for maintaining the security of their devices, credentials, authentication methods, communication channels, and account access information.

ORO cannot guarantee that unauthorized third parties will never obtain access to user accounts, communications, devices, or information despite commercially reasonable security measures.

Users shall immediately notify ORO of any suspected unauthorized access, credential compromise, security incident, fraud attempt, or account misuse.

4.2 User Responsibility for Legal Compliance

Users are solely responsible for complying with all applicable laws, regulations, licensing requirements, accessibility obligations, transportation rules, traffic laws, telecommunications regulations, privacy requirements, and governmental requirements applicable to their use of the Platform.

ORO does not represent or warrant that any particular use of the Platform is lawful in every jurisdiction, region, municipality, or regulatory environment.

Users remain solely responsible for determining whether their use of the Platform complies with applicable law.

5. PAYMENTS AND FINANCIAL STRUCTURE

The use of the Services may result in charges for services provided by third-party providers (“Charges”).

ORO acts solely as a limited collection agent on behalf of such third parties.

You acknowledge that:

  • Payments are processed through regulated third-party payment processors in accordance with the applicable jurisdiction

  • ORO does not store full payment credentials

  • Charges may include taxes, fees, surcharges, or applicable governmental costs

All payments are final and non-refundable, unless determined otherwise by ORO.

6. THIRD-PARTY SERVICES AND LIABILITY

The Services may include or interact with third-party services, platforms, or infrastructure.

ORO does not control, endorse, or assume responsibility for such third-party services.

You acknowledge that:

  • Different terms may apply to third-party services

  • ORO shall not be liable for third-party actions, omissions, or failures

6.1 No Guarantee Regarding Third-Party Providers

ORO does not warrant, certify, guarantee, or represent the identity, background, qualifications, licensing status, legal compliance, competence, conduct, suitability, reliability, safety, financial condition, insurance coverage, operational capability, or future behavior of any independent third-party provider.

Any identity verification, document review, screening process, onboarding procedure, background check, fraud-prevention measure, or compliance review that may be performed by ORO or by third-party vendors is conducted solely for platform administration purposes and shall not be interpreted as a certification, endorsement, guarantee, warranty, or representation regarding any provider.

Users acknowledge that independent providers remain autonomous third parties whose actions and decisions are outside ORO's control.

6.2 Criminal Conduct and Third-Party Misconduct Disclaimer

ORO does not and cannot guarantee the future conduct of any user, passenger, driver, courier, merchant, provider, third party, or other individual interacting through or outside the Platform.

Users acknowledge that criminal conduct, unlawful behavior, fraudulent activity, harassment, assault, theft, property damage, misconduct, negligence, intentional acts, or other harmful conduct may occur despite the existence of technological safeguards, identity-related features, accessibility systems, communication tools, or safety functionalities.

To the maximum extent permitted by law, ORO shall not be liable for the independent actions, omissions, misconduct, negligence, criminal conduct, or unlawful behavior of any third party.

6.3 Vehicles and Physical Assets Disclaimer

ORO does not own, lease, inspect, maintain, certify, repair, supervise, operate, or control any vehicle, transportation asset, mobility equipment, delivery equipment, or physical infrastructure used by independent providers.

ORO makes no representation or warranty regarding the condition, safety, roadworthiness, maintenance status, accessibility characteristics, legal compliance, insurance status, or suitability of any vehicle or physical asset utilized by independent third parties.

6.4 Insurance Disclaimer

Any insurance coverage that may exist in connection with services facilitated through the Platform is provided exclusively by independent third parties, insurers, providers, governmental programs, or other entities operating under separate legal arrangements.

ORO is not an insurer, insurance broker, insurance producer, insurance intermediary, or guarantor of coverage.

ORO makes no representation that any user or provider maintains insurance coverage and shall not be responsible for coverage availability, claim outcomes, policy limits, exclusions, denials, cancellations, or insurer conduct.

7. S.O.S. EMERGENCY FUNCTION

The Platform may include an S.O.S. emergency feature, designed as a complementary technological tool.

This feature:

  • May transmit real-time location and user data

  • May interact with third parties or authorities

  • Depends on network and device conditions

THIS FEATURE DOES NOT CONSTITUTE AN EMERGENCY SERVICE AND DOES NOT REPLACE 911 OR ANY OFFICIAL EMERGENCY SYSTEM.

7.1 No Medical, Healthcare, Monitoring or Life-Critical Services

The Platform, including its accessibility systems, voice-interaction technologies, artificial intelligence functionalities, communication systems, and S.O.S. features, is not intended to provide:

Emergency response services

Medical transportation

Healthcare services

Telemedicine services

Caregiving services

Supervision services

Life-monitoring systems

Crisis intervention services

Public safety services

Users shall not rely on the Platform for emergency, medical, healthcare, supervision, or life-critical purposes.

In any emergency situation, users must immediately contact official emergency-response authorities, including 911 or equivalent governmental services.

To the maximum extent permitted by law, ORO expressly disclaims all liability arising from:

Emergency situations

Medical incidents

Health-related outcomes

Delayed communications

Voice-recognition failures

Accessibility-system limitations

Third-party conduct

Network interruptions

Failure of emergency features

Any reliance on the Platform for life-critical purposes.

7.2 Technology Intermediary Status for Safety Communications

The Platform may facilitate the transmission of safety-related information, S.O.S. alerts, accessibility-triggered notifications, geolocation information, incident reports, or emergency-related communications to independent third-party security providers, telecommunications providers, emergency coordination partners, governmental entities, or other authorized recipients.

ORO acts solely as a technology intermediary with respect to such communications.

ORO does not operate emergency dispatch centers, law-enforcement agencies, rescue organizations, security companies, crisis-response centers, medical-response providers, or public-safety authorities.

ORO does not control, supervise, direct, manage, guarantee, or assume responsibility for the actions, decisions, response times, availability, effectiveness, operational capabilities, intervention outcomes, or performance of any third party receiving or processing safety-related communications.

The effectiveness of any safety-related functionality depends upon factors outside ORO's reasonable control, including telecommunications infrastructure, internet connectivity, device functionality, third-party systems, governmental authorities, and independent emergency-response providers.

Additional Clarification Regarding Independent Security Providers

Where available, S.O.S. alerts may be transmitted to independent third-party security providers operating under separate contractual, technical, and legal frameworks.

Such providers act independently and are not employees, agents, representatives, joint venturers, contractors under ORO's operational control, or emergency-response personnel of ORO.

Any assessment, escalation, communication, intervention decision, reporting activity, or contact with governmental authorities shall be performed exclusively by such independent third parties under their own policies, procedures, legal obligations, operational standards, and professional judgment.

ORO does not supervise, direct, manage, or control the emergency-handling activities of any independent security provider.

7.3 User-Selected Meeting Points and Coordination Features

The Platform may provide estimated arrival information, voice-assisted communications, accessibility-oriented coordination tools, quick-message functionalities, location-sharing tools, proximity notifications, and other communication features intended to facilitate coordination between independent users and independent third-party providers.

Meeting locations, pickup points, destinations, communication exchanges, route selections, and coordination decisions are selected, confirmed, modified, and managed exclusively by the participating users and independent providers.

ORO does not determine, inspect, verify, supervise, secure, approve, recommend, monitor, control, or guarantee the suitability, legality, accessibility, visibility, condition, security, or safety of any location selected by users.

Users remain solely responsible for evaluating their surroundings and determining whether any meeting location is appropriate under the circumstances.

7.4 Voice-Assisted Communications and Hands-Free Interaction

The Platform may provide voice-assisted communications, speech-based interaction systems, automated audio notifications, estimated arrival announcements, accessibility prompts, voice-enabled coordination tools, and other hands-free functionalities intended to reduce the need for continuous manual interaction with mobile devices.

Such functionalities are designed exclusively to facilitate accessibility, convenience, communication efficiency, and user autonomy.

Users acknowledge that voice-assisted technologies do not replace compliance with applicable laws, transportation regulations, traffic laws, safe conduct practices, device-use restrictions, situational awareness, or personal responsibility.

ORO makes no representation or warranty that any voice-assisted functionality will operate continuously, accurately, without interruption, or without error.

To the maximum extent permitted by law, ORO disclaims liability arising from the use, misuse, interruption, unavailability, inaccuracy, or failure of voice-assisted technologies.

7.5 Geolocation and Mapping Disclaimer

The Platform may utilize GPS technologies, mapping services, geolocation systems, route estimations, location-sharing tools, proximity calculations, and other location-based functionalities provided by ORO or third-party providers.

Users acknowledge that geolocation technologies may be affected by environmental conditions, network limitations, hardware functionality, satellite coverage, mapping inaccuracies, third-party infrastructure, software limitations, and other factors beyond ORO's reasonable control.

Accordingly, ORO does not guarantee the accuracy, precision, availability, completeness, timeliness, or reliability of any location-based information.

7.6 Off-Platform Activities

ORO shall have no responsibility for communications, meetings, transactions, arrangements, agreements, transportation activities, commercial relationships, or interactions occurring outside the Platform, including activities initiated through contact information exchanged between users and independent providers.

Any off-platform activity occurs entirely at the participants' own risk.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

The Services are provided “AS IS” and “AS AVAILABLE.”

ORO expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of:

Merchantability

Fitness for a particular purpose

Non-infringement

Availability

Accessibility performance

Accuracy

Reliability

Operational continuity

Compatibility

Security

Error-free functionality

ORO does not warrant that the Platform will operate uninterrupted, securely, or without errors.

To the maximum extent permitted by law, ORO shall not be liable for:

  • System failures or interruptions

  • Voice recognition errors

  • GPS inaccuracies or data transmission issues

  • Third-party actions or omissions

  • Network or device failures

  • Misuse of the Platform

ORO shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to:

  • Personal injury

  • Death

  • Property damage

  • Loss of profits or data

To the maximum extent permitted by applicable law, the total aggregate liability of ORO arising out of or relating to the Platform, Services, accessibility systems, voice technologies, artificial intelligence functionalities, or these Terms shall not exceed the greater of:

(i) the total amount actually paid by the User to ORO through the Platform during the three (3) months immediately preceding the event giving rise to the claim; or

(ii) one hundred U.S. dollars (USD $100).

This limitation applies regardless of the legal theory asserted and even if any limited remedy fails of its essential purpose.

8.1 No Reliance on Platform Features

Users acknowledge that accessibility tools, voice-assisted technologies, artificial intelligence functionalities, geolocation services, estimated arrival information, communication systems, identity-related features, safety tools, verification mechanisms, and S.O.S. functionalities are provided solely as technological tools intended to facilitate user interaction.

Such functionalities do not constitute guarantees of safety, identity verification, transportation security, emergency response, provider reliability, fraud prevention, criminal prevention, or successful service outcomes.

Users agree not to rely upon any Platform feature as a substitute for personal judgment, emergency services, law-enforcement protection, medical assistance, transportation safety assessments, professional advice, or personal security measures.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ORO and its affiliates from any claims arising from:

  • Your use of the Services

  • Violation of these Terms

  • Violation of applicable laws

  • Infringement of third-party rights

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute shall be resolved through:

  1. Mediation (ICC Rules)

  2. Arbitration (ICC Rules), seated in Miami, Florida

Language: English (primary), Spanish (if applicable)
All proceedings shall remain confidential.

To the maximum extent permitted by applicable law, all disputes shall be resolved exclusively on an individual basis.

Users expressly waive any right to participate in:

Class actions

Collective proceedings

Representative actions

Mass arbitration claims

Private attorney general actions

No arbitration or proceeding shall be consolidated with any other matter without the prior written consent of ORO.

10.1 Limitation Period for Claims

To the maximum extent permitted by applicable law, any claim, dispute, cause of action, or proceeding arising out of or relating to the Platform, Services, or these Terms must be commenced within one (1) year after the event giving rise to the claim occurred.

Any claim not commenced within such period shall be permanently barred.

11. GENERAL PROVISIONS

These Terms constitute the entire agreement between the parties.

If any provision is deemed invalid, the remaining provisions shall remain in full force.

ORO may assign these Terms without restriction.

No joint venture, partnership, or employment relationship is created.

11.1 App Store Distribution

Users acknowledge that the availability of the Platform may depend upon third-party application marketplaces, including Apple App Store and Google Play.

Such marketplaces are not parties to these Terms and bear no responsibility for the Platform, its content, maintenance, support, warranties, claims, operation, or performance.

12. FORCE MAJEURE

ORO shall not be liable for any delay, interruption, failure, inaccuracy, data loss, service disruption, unavailability, or non-performance arising directly or indirectly from events beyond its reasonable control, including but not limited to:

Natural disasters

Acts of God

Pandemics

Government actions

Regulatory restrictions

Cybersecurity incidents

Telecommunications failures

Internet outages

Cloud infrastructure failures

Artificial intelligence interruptions

GPS inaccuracies

Power failures

Labor disputes

Civil unrest

War

Terrorism

Third-party infrastructure failures

Force majeure events

Users expressly acknowledge that the Platform operates within a complex technological ecosystem dependent on multiple independent third-party systems and infrastructure providers.
