GLOBAL DIGITAL PLATFORM GOVERNANCE, TECHNOLOGY OPERATIONS AND REGULATORY COMPLIANCE POLICY

 

0. LEGAL STATUS WITHIN THE ORO LEGAL FRAMEWORK

This Policy forms part of the integrated legal, operational, technological, accessibility, cybersecurity, compliance, and risk-management framework governing the ORO Marketplace Platform.

This Policy supplements, and shall be interpreted together with:

Terms and Conditions of Use;

Global Platform Legal Framework;

Global Privacy, Security and Data Governance Policy;

Accessibility & Voice Technology Policy;

Safety, S.O.S. and Emergency Framework;

Payments, Billing and Refunds Framework;

Acceptable Use and Legal Enforcement Policy;

and all related legal notices, disclosures, annexes, operational standards, and future amendments published by ORO Technologies LLC.

In the event of any conflict, inconsistency, or ambiguity, the Terms and Conditions of Use shall prevail to the maximum extent permitted by applicable law.

Platform Governance, Technology Operations, Accessibility Oversight, Digital Compliance, Risk Management and Corporate Control Framework

1. SCOPE, ACCEPTANCE AND GLOBAL REGULATORY FRAMEWORK

This Policy constitutes a legally binding agreement applicable to any natural or legal person who accesses, uses, interacts with, or participates in the technology platform operated by Oro Technologies LLC and its affiliated entities (collectively, “Oro”), including, without limitation, users, advertisers, operators, independent service providers, and any related third parties (the “Users”).

Oro Technologies LLC operates as a separate and independent legal entity. Nothing in this Policy shall be interpreted as creating a partnership, joint venture, fiduciary duty, or agency relationship between Oro and any User or third party.

Oro Technologies LLC does not control, direct, or supervise the conduct of Users or third-party providers outside of its technological platform functions. Oro Technologies LLC provides a neutral technological infrastructure and does not exercise operational control over user interactions, service execution, pricing decisions, or third-party conduct occurring outside the technical scope of the Platform.

Access to or use of the Platform constitutes the express, full, and unconditional acceptance of all provisions set forth herein, forming a legally enforceable agreement between the User and Oro.

Oro operates under a multi-layered global compliance framework, aligned with the laws of the United States, international regulatory standards, and best practices governing global digital platforms. Where mandatory local laws apply, such laws shall prevail strictly to the extent required.

Oro reserves the absolute, unilateral, and unrestricted right, at its sole discretion and without prior notice, to modify, update, restrict, suspend, or discontinue any aspect of the Platform, including functionalities, content, services, accounts, or access.

1A. NO GUARANTEE OF PLATFORM AVAILABILITY

ORO does not guarantee uninterrupted access, continuous availability, error-free operation, compatibility, reliability, uptime, performance, or accessibility of the Platform.

Platform functionality may be interrupted, delayed, restricted, degraded, suspended, modified, or discontinued at any time due to maintenance activities, cybersecurity measures, technical failures, third-party infrastructure limitations, regulatory requirements, force majeure events, or operational decisions.

2. APP STORE COMPLIANCE AND DIGITAL PLATFORM POLICIES

The Platform strictly complies with the standards and requirements established by major digital distribution platforms, including, without limitation, the Apple App Store Review Guidelines and the Google Play Developer Policies.

Accordingly, all content, features, and services made available through the Platform adhere to requirements relating to user safety, privacy protection, transparency, accessibility, and proper use of device permissions, including microphone access and sensitive data processing.

Oro implements technical, operational, and legal controls to ensure continuous compliance with data protection laws, informed user consent, cybersecurity standards, and fair commercial practices.

The User acknowledges that access to the Platform may be subject to additional terms and conditions imposed by such digital platforms, which remain outside Oro’s control.

3. TECHNOLOGY PLATFORM STATUS AND NO SERVICE PROVIDER RELATIONSHIP

ORO operates exclusively as a technology platform that facilitates communications, accessibility-oriented interactions, voice-enabled requests, digital coordination, information exchange, payment facilitation, safety-related communications, and marketplace connectivity between independent third-party participants.

ORO does not provide transportation services, logistics services, courier services, delivery services, freight services, moving services, caregiving services, healthcare services, emergency response services, security services, dispatch services, or public safety services.

All services available through the Platform are independently offered and performed by third-party providers acting under their own authority, responsibility, licenses, permits, insurance obligations, and regulatory compliance requirements.

ORO does not direct, supervise, manage, control, train, evaluate, employ, monitor, or assume responsibility for the operational conduct of independent providers.

Nothing contained in this Policy shall be interpreted as creating:

an employment relationship;

an agency relationship;

a joint venture;

a partnership;

a franchise arrangement;

a representative capacity;

a fiduciary duty;

or any form of legal dependency between ORO and any provider.

Users expressly acknowledge that ORO functions solely as a technology intermediary platform.

3A. NO GUARANTEE OF PROVIDER SCREENING

ORO may conduct identity verification procedures, document reviews, eligibility checks, background screening processes, license verification procedures, insurance reviews, or other assessment measures regarding independent providers.

Any such verification process is limited in scope, may rely upon third-party information sources, and does not constitute:

a certification;

an endorsement;

a guarantee of safety;

a guarantee of future conduct;

a guarantee of legal compliance;

or a representation regarding suitability for any specific purpose.

Independent providers remain solely responsible for their conduct and legal compliance.

4. NO FINANCIAL SERVICE DISCLAIMER

The Platform does not constitute, and shall not be interpreted as, a financial institution, fintech entity, payment processor, financial intermediary, or digital wallet under any jurisdiction.

Oro does not provide regulated financial services, does not accept deposits, and does not act as a custodian of funds.

Any economic transaction occurring within the Platform arises exclusively from relationships between Users and independent third-party providers.

Oro does not:

Hold or safeguard user funds
Process or guarantee payments
Act as a contracting party in financial transactions
Assume responsibility for billing, collections, or financial losses

The User expressly acknowledges that any financial interaction is conducted at their sole risk and exclusive responsibility, and that Oro operates strictly as a technology intermediary without financial participation.

5. VOICE USE, AUDIO PROCESSING AND DIGITAL ACCESSIBILITY ENVIRONMENT

The Platform integrates voice-first technologies, including speech recognition, audio processing, and voice synthesis, designed to enable universal accessibility, particularly for elderly users and persons with disabilities.

The User expressly acknowledges that such systems rely on automated processing and are subject to inherent technical limitations, including but not limited to:

Misinterpretation or recognition errors
Inaccurate transcription
Latency and connectivity failures
Environmental interference
Linguistic variations and accents

Accordingly:

Voice interactions may not accurately reflect User intent
System-generated outputs may be incomplete, ambiguous, or incorrect
Any action executed through voice commands is undertaken at the User’s sole risk

The User assumes a non-delegable obligation to verify all instructions, destinations, requests, and actions prior to execution.

Voice functionalities:

Do NOT constitute emergency services
Do NOT provide medical, legal, or financial advice
Must NOT be used in critical-risk scenarios

Any voice command shall be considered a system input instruction initiated by the User. Such input may trigger platform actions subject to confirmation mechanisms, safety controls, and system validation protocols designed to prevent unintended execution, especially in accessibility use cases.

The Platform may require additional confirmation steps (including visual, auditory, or secondary confirmation) before executing sensitive actions, particularly in safety-critical, financial, or location-based functionalities.

The User acknowledges and agrees that voice activation may occur unintentionally or be triggered by ambient conditions, and that Oro shall not be liable for any actions initiated as a result of unintended, misinterpreted, or background-triggered voice commands.

5A. ACCESSIBILITY GOVERNANCE AND ASSISTIVE TECHNOLOGY LIMITATIONS

ORO is committed to digital inclusion and the development of accessibility-oriented technologies intended to facilitate independent use of the Platform by senior citizens, persons with disabilities, accessibility-dependent users, and individuals with limited technological experience.

Accessibility tools, voice-recognition systems, AI-assisted functionalities, speech-processing technologies, simplified interaction mechanisms, screen-reader compatibility features, and assistive technologies are inherently subject to technical limitations.

ORO does not warrant uninterrupted accessibility, universal compatibility, flawless speech recognition, continuous availability, or suitability for every disability, condition, language, environment, device, operating system, jurisdiction, or use case.

Accessibility technologies are assistive tools only and do not replace caregivers, legal guardians, healthcare professionals, emergency responders, support personnel, or independent human judgment.

Users remain solely responsible for determining whether the Platform is appropriate for their individual needs and circumstances.

5B. NO PROFESSIONAL ADVICE

Nothing within the Platform, including voice technologies, AI-assisted systems, accessibility tools, safety functionalities, communications, content, recommendations, alerts, notifications, automated outputs, or informational materials shall be interpreted as legal advice, medical advice, financial advice, tax advice, investment advice, professional consulting services, or expert guidance of any kind.

Users remain solely responsible for obtaining appropriate professional advice when required.

6. VOICE DATA PROCESSING, CONSENT AND TECHNICAL LIMITATIONS

By using voice functionalities, the User expressly authorizes Oro to:

Capture, process, and analyze audio data
Convert voice to text and text to voice
Store recordings and/or transcriptions (temporarily or permanently)
Use such data to improve system performance, security, and user experience

Such processing may be conducted by Oro or through third-party infrastructure providers, including cloud-based systems operating across multiple jurisdictions.

The User acknowledges that:

Voice data transmission involves inherent security risks
Absolute data security cannot be guaranteed
System performance depends on external, uncontrollable variables

7. INTELLECTUAL PROPERTY AND BRAND PROTECTION

All intellectual property rights related to the Platform—including software, architecture, algorithms, interfaces, trademarks, trade names, logos, and proprietary content—are the exclusive property of Oro or its licensors, and are protected under applicable global intellectual property laws.

Any unauthorized use, reproduction, reverse engineering, modification, distribution, or commercial exploitation constitutes a material legal violation, subject to civil and criminal enforcement.

The User expressly acknowledges and agrees that data, content, and system interactions may be used for model training, system optimization, safety enhancement, and service improvement in anonymized or aggregated form where permitted by law.

8. USER-GENERATED CONTENT AND GLOBAL LICENSE

Users retain ownership of their content but grant Oro a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, analyze, display, distribute, and use such content for:

Platform operations;
security purposes;
fraud prevention;
accessibility functionality;
customer support;
legal compliance;
regulatory obligations;
service improvement;
research and development;
and dispute resolution.

The User represents and warrants full ownership and legal rights over such content and assumes complete legal responsibility for its legality and use.

This license shall survive account suspension, account termination, deletion requests, or cessation of Platform use to the extent reasonably necessary for legal compliance, regulatory obligations, fraud prevention, security purposes, dispute resolution, evidentiary preservation, enforcement of Platform policies, or protection of ORO's legitimate business interests.

9. GLOBAL ADVERTISING POLICY AND COMMERCIAL CONTROL

All advertising activity on the Platform is subject to prior approval, continuous monitoring, and discretionary enforcement by Oro.

Oro strictly prohibits content that is illegal, misleading, discriminatory, fraudulent, sexually explicit, violent, or otherwise harmful.

Prohibited categories include, without limitation:

Tobacco, drugs, weapons, and explosives
Fraudulent financial schemes or misleading investments
Unapproved medical or health products
Adult or sexually suggestive content
Political influence or election-related advertising
Cryptocurrency speculation platforms
Surveillance or illegal technologies
Animal cruelty or unethical practices

Oro reserves the right to restrict industries, advertisers, or campaigns that pose legal, reputational, or financial risks.

The promotion of direct competitors of the Platform is strictly prohibited.

10. PROHIBITED CONDUCT AND PLATFORM SECURITY

Users shall not engage in conduct that compromises Platform integrity, including:

Unauthorized access or system interference
Automation, bots, or scraping
Identity impersonation
Fraud or manipulation of services
Voice spoofing or falsification of commands

Oro reserves the right to deploy technical, legal, and enforcement mechanisms, including account suspension, service restriction, and legal action.

10A. NO DUTY TO MONITOR

ORO does not undertake any general obligation to monitor user activity, communications, transactions, voice interactions, accessibility-related interactions, content, services, or conduct occurring through the Platform.

The existence of safety tools, moderation systems, AI technologies, fraud-detection mechanisms, accessibility monitoring features, reporting channels, or automated review systems shall not create any duty to actively monitor, investigate, prevent, detect, or eliminate unlawful conduct.

Users remain solely responsible for their own actions and compliance with applicable law.

11. SAFETY, INCIDENT RESPONSE AND COOPERATION WITH AUTHORITIES

Oro implements a global safety and incident management framework designed to detect, assess, and mitigate operational, technological, and user interaction risks.

In the event of incidents, including but not limited to:

Safety risks during service interactions
Reports of misconduct or abuse
Critical technical failures
Misuse of voice functionalities

Oro may:

Log, analyze, and audit events
Apply preventive or permanent account restrictions
Activate internal review and escalation protocols

The User expressly acknowledges that the Platform is not an emergency service, and that in situations involving immediate risk, Users must contact local emergency authorities directly.

Oro may cooperate with governmental, regulatory, or judicial authorities by:

Providing information in response to valid legal requests
Preserving data in accordance with legal obligations
Offering technical assistance within operational capabilities

Such cooperation shall be conducted under principles of legality, proportionality, and applicable jurisdiction.

Any SOS, safety alert, or emergency-triggered functionality operates solely as a communication relay system to independent third-party providers. Oro does not guarantee response times, dispatch outcomes, or intervention results, and assumes no responsibility for actions or inaction by such third parties or public authorities.

The User acknowledges that such relay-based systems are dependent on third-party infrastructure, telecommunications networks, and external emergency service availability, all of which are outside Oro’s control.

The User expressly acknowledges that no reliance shall be placed on the SOS, safety alert, or emergency-triggered functionalities as a guaranteed, timely, or successful means of protection, rescue, or intervention.

11A. S.O.S. ALERT SYSTEMS AND THIRD-PARTY EMERGENCY COMMUNICATIONS

The Platform may include safety-related technologies, including voice-triggered alerts, emergency contacts, incident reporting systems, location-sharing features, safety monitoring tools, and S.O.S. activation functionalities.

Users expressly acknowledge that ORO does not operate emergency-response centers, ambulance services, police departments, fire departments, crisis-intervention centers, dispatch agencies, security companies, or governmental emergency authorities.

Where available, S.O.S. alerts may be transmitted to independent third-party security providers, monitoring companies, emergency-assistance partners, or external service operators.

Such third parties operate independently from ORO and remain solely responsible for their response procedures, communication protocols, operational decisions, escalation processes, and coordination with local authorities.

ORO does not guarantee:

receipt of alerts;

successful communication;

response times;

dispatch actions;

government intervention;

emergency outcomes;

service availability;

or third-party performance.

Users must contact local emergency authorities directly whenever immediate assistance is required.

Users acknowledge that activation of an S.O.S. feature does not guarantee that any alert, message, communication, location data, voice transmission, emergency signal, or safety-related information will be received, reviewed, transmitted, acknowledged, acted upon, or responded to by any person or entity.​

12. THIRD-PARTY SERVICES AND PLATFORM-LEVEL LIABILITY DISCLAIMER

All services are provided exclusively by independent third-party providers.

To the fullest extent permitted by law, Oro shall not be liable for:

Accidents or personal injury
Physical interactions between Users
Property damage
Economic losses
Misconduct of service providers

Oro does not supervise or control service execution and assumes no responsibility for outcomes or consequences.

13. DATA PROCESSING, PRIVACY AND LEGAL REQUESTS

Oro processes personal data, including voice data, in accordance with applicable global data protection laws.

Data disclosure will only occur in response to valid legal requests, subject to jurisdiction, necessity, and proportionality.

Oro may reject requests that are overbroad, legally insufficient, or jurisdictionally invalid.

14. INFORMATION DISCLOSURE AND OPERATIONAL LIMITATIONS

Information will only be disclosed where legally required and within reasonable technical capabilities.

Oro does not guarantee continuous availability, data completeness, or permanent data retention.

15. ENFORCEMENT, SANCTIONS AND CORPORATE CONTROL

Oro reserves the absolute right, without prior notice, to remove content, suspend or terminate accounts, restrict access, and initiate legal proceedings.

16. GENERAL LIMITATION OF LIABILITY

To the fullest extent permitted by law, Oro shall not be liable for any damages whatsoever, including direct, indirect, incidental, consequential damages, loss of data, loss of profits, system failures, automated processing errors, or voice recognition inaccuracies, to the maximum extent permitted by applicable law.

16A. AGGREGATE LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ORO TECHNOLOGIES LLC, ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, TECHNOLOGY PARTNERS, SUCCESSORS, AND ASSIGNS ARISING OUT OF OR RELATING TO THE PLATFORM, THIS POLICY, ACCESSIBILITY FEATURES, VOICE TECHNOLOGIES, SAFETY TOOLS, OR DIGITAL SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT PAID BY THE USER TO ORO DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

This limitation applies regardless of the legal theory asserted and regardless of whether ORO has been advised of the possibility of such damages.

16B. FORCE MAJEURE

ORO shall not be liable for any interruption, delay, degradation, suspension, failure, or inability to provide Platform functionality resulting from events beyond its reasonable control, including:

acts of God;

natural disasters;

earthquakes;

hurricanes;

floods;

pandemics;

public emergencies;

cyberattacks;

telecommunications failures;

internet outages;

power interruptions;

governmental actions;

civil unrest;

labor disputes;

cloud-service disruptions;

third-party infrastructure failures;

or other force majeure events.

17. DISPUTE RESOLUTION, BINDING ARBITRATION AND CLASS ACTION WAIVER

All disputes shall be resolved exclusively through binding, confidential arbitration under United States law.

The arbitration shall be administered under the rules of the American Arbitration Association (AAA) or an equivalent recognized institution.

The User expressly waives participation in class actions, collective claims, or representative proceedings. All claims must be brought individually.

18. MODIFICATIONS AND VALIDITY

Oro may modify this Policy at any time. Continued use of the Platform constitutes binding acceptance of such modifications.

18A. REGULATORY ADAPTATION AND CONTINUOUS COMPLIANCE

ORO reserves the unrestricted right to modify operational procedures, accessibility systems, voice technologies, security controls, compliance programs, verification requirements, safety features, technical standards, user-interface elements, and governance mechanisms where reasonably necessary to maintain compliance with:

applicable laws;

regulatory requirements;

accessibility obligations;

data-protection frameworks;

cybersecurity standards;

consumer-protection regulations;

Apple App Store requirements;

Google Play policies;

or industry best practices.

Such adaptations may be implemented without prior notice except where mandatory law expressly requires otherwise.

18B. NO THIRD-PARTY BENEFICIARIES

Nothing contained in this Policy shall be interpreted as creating rights, remedies, warranties, obligations, duties, causes of action, or benefits in favor of any third party.

This Policy is intended solely for the benefit of ORO and the applicable User.

No third party shall be deemed a beneficiary of this Policy except where expressly required by applicable law.

19. LAST UPDATE

GLOBAL LEGAL INTEGRATION NOTICE

These Terms form part of the unified global legal framework governing the ORO Marketplace Platform, including the Privacy Policy, Accessibility & Voice Policy, Community Guidelines, Safety Framework, Refund Policy, and all related legal disclosures published by Oro Technologies LLC.

Continued access to or use of the Platform constitutes legally binding acceptance of all applicable policies and future updates.

PLATFORM HIERARCHY NOTICE

This Policy constitutes a supplemental governance framework and shall not be interpreted as an independent contractual agreement separate from the Terms and Conditions of Use.

In the event of conflict, inconsistency, or ambiguity between this Policy and any other ORO legal document, the following order of precedence shall apply:

Terms and Conditions of Use;

Global Platform Legal Framework;

Privacy and Data Governance Policy;

Accessibility & Voice Technology Policy;

Safety and S.O.S. Framework;

Payments and Refunds Framework;

followed by this Policy and all supplemental notices.
