GLOBAL REGULATORY COMPLIANCE FRAMEWORK

1. PURPOSE OF THIS FRAMEWORK

The Global Regulatory Compliance Framework ("Framework") establishes the corporate principles governing how ORO Technologies LLC develops, operates, maintains and continuously adapts its technology Platform in accordance with applicable laws, regulations, governmental requirements and regulatory standards across the jurisdictions in which the Platform is made available.

This Framework reflects ORO's commitment to responsible corporate governance, legal compliance, operational integrity, technological innovation, digital accessibility, user protection, privacy, cybersecurity, regulatory cooperation and continuous improvement while recognizing that legal requirements vary among countries, states, provinces, territories and local governmental authorities.

Because ORO operates as a global technology company, the Platform is designed to support lawful operations across multiple jurisdictions while maintaining a consistent legal architecture that allows jurisdiction-specific adaptations whenever required by applicable law.

Nothing contained in this Framework shall be interpreted as creating an obligation for ORO to provide identical services, identical Platform functionality, identical regulatory treatment or identical legal rights in every jurisdiction where the Platform may be available.

2. SCOPE OF APPLICATION

This Framework applies to all products, services, websites, mobile applications, voice technologies, accessibility features, artificial intelligence systems, communication tools, software components, operational technologies and digital services owned, operated, licensed or made available by ORO Technologies LLC, including all affiliated entities, subsidiaries, authorized business operations and future Platform developments unless expressly stated otherwise.

This Framework applies to all users of the Platform, including, without limitation:

Passengers;

Independent Drivers;

Independent Transportation Providers;

Fleet Operators;

Business Customers;

Corporate Clients;

Accessibility Service Users;

Visitors;

Partners;

Contractors;

Developers;

Third-Party Service Providers;

and any other individual or entity accessing or interacting with the Platform.

The principles established herein supplement, and shall be interpreted together with, the Master Terms and Conditions, Privacy Policies, Accessibility Policies, Safety Policies, Community Standards and all other documents forming part of the ORO Global Legal Framework.

3. GLOBAL NATURE OF THE PLATFORM

ORO Technologies LLC develops and operates a technology platform intended to facilitate digital connections between independent users and independent third-party service providers through voice-first technologies, accessibility-oriented systems, software infrastructure, artificial intelligence tools and related digital services.

The Platform has been designed to promote inclusion by reducing technological barriers, simplifying user interaction and providing voice-enabled functionalities intended to improve usability for individuals with varying levels of technological familiarity, including older adults, persons with disabilities and users who prefer voice-based interaction.

While accessibility and inclusion remain fundamental design objectives, ORO recognizes that legal requirements governing transportation technology platforms differ substantially across jurisdictions.

Accordingly, Platform functionality, service availability, operational procedures, verification requirements, payment methods, accessibility features, communication systems, identity verification processes, safety tools, pricing mechanisms, regulatory disclosures and other operational characteristics may vary depending upon applicable local legal requirements, governmental directives, licensing conditions, regulatory approvals, contractual obligations or technological limitations.

Users acknowledge that the availability or absence of a particular Platform feature in one jurisdiction shall not create any expectation, entitlement or legal right regarding the availability of that same feature in another jurisdiction.

4. REGULATORY COMPLIANCE PHILOSOPHY

ORO is committed to conducting its business in accordance with applicable laws while preserving the flexibility necessary to operate an evolving global technology Platform.

Rather than adopting a static compliance model, ORO maintains a continuous regulatory compliance approach designed to monitor legal developments, evaluate emerging regulatory requirements and implement reasonable operational, technological and contractual adjustments when appropriate.

This compliance philosophy recognizes that legislation governing digital platforms, artificial intelligence, accessibility technologies, transportation networks, privacy, cybersecurity, consumer protection, electronic communications, financial services and online marketplaces continues to evolve worldwide.

Accordingly, ORO reserves the right to modify Platform functionality, operational processes, legal documentation, accessibility features, artificial intelligence systems, voice technologies, verification procedures, safety mechanisms or other Platform components whenever reasonably necessary to comply with applicable legal requirements or regulatory expectations.

Nothing within this Framework shall be interpreted as guaranteeing that legal requirements will remain unchanged or that Platform functionality will remain permanently identical over time.

5. TECHNOLOGY PLATFORM STATUS

ORO Technologies LLC operates exclusively as a technology company that develops, licenses, maintains and operates digital software infrastructure intended to facilitate interactions between independent participants.

Except where expressly required by applicable law, ORO does not provide transportation services, logistics services, courier services, delivery services, medical transportation services, emergency response services, law enforcement services or other regulated transportation activities.

Independent transportation providers remain solely responsible for the transportation services they independently choose to provide, subject to applicable law and their own legal obligations.

Similarly, users remain solely responsible for the decisions they independently make while using the Platform.

Nothing contained within this Framework shall be interpreted as creating an employment relationship, joint venture, partnership, agency relationship, fiduciary relationship or common carrier obligation between ORO and independent providers using the Platform.

The regulatory obligations applicable to independent transportation providers may differ from those applicable to ORO as a technology Platform.

6. JURISDICTION-SPECIFIC COMPLIANCE

Because ORO may operate across multiple legal systems, users acknowledge that applicable legal requirements may differ significantly depending upon:

country;

state;

province;

territory;

municipality;

local transportation authority;

consumer protection agency;

data protection authority;

financial regulator;

accessibility regulator;

telecommunications authority;

public safety authority;

or other competent governmental body.

Accordingly, ORO may implement jurisdiction-specific operational rules, disclosures, accessibility measures, contractual provisions, technical requirements, payment methods, identity verification procedures, tax processes, data processing practices or other legal compliance mechanisms whenever required or reasonably appropriate.

The existence of jurisdiction-specific compliance measures shall not be interpreted as creating identical obligations in jurisdictions where such requirements do not apply.

7. APPLICABLE LAW AND REGULATORY PRIORITY

ORO Technologies LLC develops and operates its Platform with the objective of supporting compliance with applicable legal and regulatory requirements in the jurisdictions where the Platform is made available.

Because legal systems differ among countries and governmental authorities, the rights, obligations, operational requirements, disclosures, consumer protections, accessibility standards, licensing requirements and regulatory expectations applicable to Platform operations may vary by jurisdiction.

Whenever mandatory provisions of applicable law require a different legal treatment than that established within the ORO Global Legal Framework, the applicable mandatory legal requirements of the relevant jurisdiction shall prevail solely to the extent required by law.

Except where expressly prohibited by mandatory law, all remaining provisions of the ORO Global Legal Framework shall continue to remain fully valid, enforceable and effective.

Nothing contained within this Framework shall be interpreted as an election by ORO to voluntarily submit all Platform operations worldwide to the laws of any single jurisdiction.

8. TRANSPORTATION, MOBILITY AND LOCAL LICENSING REGULATIONS

ORO recognizes that transportation-related regulations differ significantly across jurisdictions and may include licensing requirements, operational permits, accessibility obligations, insurance requirements, vehicle standards, driver qualifications, consumer disclosures, fare regulations and other governmental requirements.

As a technology Platform, ORO may implement operational adjustments, verification procedures, documentation requirements, localized disclosures, technical controls or other compliance mechanisms reasonably necessary to facilitate lawful Platform operations within a particular jurisdiction.

Independent transportation providers remain solely responsible for obtaining, maintaining and complying with all licenses, permits, certifications, registrations, insurance policies and legal authorizations required for the lawful provision of transportation services under applicable law.

Nothing within this Framework shall be interpreted as transferring those regulatory responsibilities from independent providers to ORO Technologies LLC.

The availability of the Platform within a jurisdiction does not constitute a governmental certification, authorization or representation that every independent provider complies with all applicable legal requirements.

9. ACCESSIBILITY, DIGITAL INCLUSION AND EQUAL ACCESS REGULATIONS

ORO was designed with the objective of reducing technological barriers by incorporating voice-first technologies, accessibility-oriented features and simplified user interaction intended to improve digital inclusion.

Accordingly, ORO is committed to considering applicable accessibility laws, regulations and internationally recognized accessibility principles when designing, maintaining and improving the Platform.

However, accessibility requirements differ among jurisdictions and continue to evolve through legislative, regulatory and technological developments.

ORO reserves the right to modify, expand, replace or discontinue accessibility-related functionalities whenever reasonably necessary to:

comply with applicable law;

respond to regulatory developments;

address technological evolution;

improve accessibility;

enhance user safety;

or maintain Platform integrity.

The existence of accessibility features shall not be interpreted as creating a guarantee of individualized accommodation, complete accessibility, universal compatibility or legally required accessibility outcomes under every jurisdiction.

Accessibility-related obligations shall be interpreted together with the Accessibility Policies forming part of the ORO Global Legal Framework.

10. PRIVACY, DATA PROTECTION AND CROSS-BORDER REGULATORY COMPLIANCE

ORO recognizes that privacy and data protection laws vary significantly across jurisdictions.

Accordingly, the Company may implement jurisdiction-specific privacy practices, consent mechanisms, data retention periods, cross-border transfer safeguards, security controls, user rights procedures, transparency measures and compliance mechanisms whenever required by applicable law.

Personal information may be collected, processed, stored, transferred or otherwise handled in accordance with the ORO Privacy Framework and applicable legal requirements.

Where applicable, ORO may implement measures designed to support compliance with privacy laws including, without limitation:

the General Data Protection Regulation (GDPR);

the UK GDPR;

the California Consumer Privacy Act (CCPA), as amended;

the California Privacy Rights Act (CPRA);

the Brazilian General Data Protection Law (LGPD);

the Personal Information Protection and Electronic Documents Act (PIPEDA);

and other applicable national, regional or local privacy regulations.

References to specific legislation are illustrative only and shall not be interpreted as limiting ORO's commitment to comply with other applicable privacy laws.

11. ARTIFICIAL INTELLIGENCE, AUTOMATED TECHNOLOGIES AND EMERGING DIGITAL REGULATIONS

The Platform may incorporate artificial intelligence technologies, machine-learning systems, voice-recognition technologies, accessibility automation, predictive tools and other automated systems designed to facilitate Platform functionality.

ORO continuously monitors the evolution of legislation governing artificial intelligence, automated decision-making, algorithmic transparency, digital accessibility, cybersecurity and emerging technologies.

Accordingly, ORO reserves the right to modify, suspend, replace or discontinue any artificial intelligence functionality whenever reasonably necessary to comply with:

new legislation;

regulatory guidance;

governmental orders;

judicial decisions;

industry standards;

ethical frameworks;

or technological developments.

Nothing within this Framework shall be interpreted as guaranteeing the permanent availability of any specific artificial intelligence model, algorithm, automated process, accessibility technology or voice-processing functionality.

12. CONSUMER PROTECTION AND FAIR COMMERCIAL PRACTICES

ORO is committed to conducting its operations in a manner consistent with applicable consumer protection laws while recognizing that such laws vary substantially among jurisdictions.

Platform disclosures, pricing information, refund procedures, cancellation policies, accessibility information, safety communications and user rights may therefore differ depending upon applicable legal requirements.

Nothing within this Framework shall be interpreted as creating consumer rights beyond those required under applicable mandatory law.

Where local consumer protection legislation grants users non-waivable legal rights, those rights shall remain unaffected by this Framework to the extent required by law.

13. ANTI-MONEY LAUNDERING, SANCTIONS AND EXPORT CONTROL COMPLIANCE

Where applicable, ORO may implement operational, technical and administrative measures intended to support compliance with laws relating to:

anti-money laundering;

counter-terrorism financing;

economic sanctions;

export controls;

restricted jurisdictions;

prohibited transactions;

financial crime prevention;

and other applicable international regulatory requirements.

Accordingly, ORO reserves the right to restrict, suspend or refuse access to the Platform whenever reasonably necessary to comply with applicable sanctions programs, governmental restrictions, court orders or other legally binding regulatory requirements.

Nothing contained within this Framework shall be interpreted as obligating ORO to provide services in jurisdictions where doing so would violate applicable law.

14. REGULATORY COOPERATION

ORO may cooperate with competent governmental authorities, regulatory agencies, courts, law enforcement bodies, supervisory authorities and other legally authorized entities whenever required or permitted under applicable law.

Such cooperation may include the preservation, disclosure or production of information, records or other legally authorized materials in accordance with applicable legal processes and the ORO Global Legal Framework.

Nothing within this Framework shall be interpreted as limiting ORO's right to comply with lawful governmental requests, judicial orders or regulatory obligations.

15. REGULATORY CHANGES AND CONTINUOUS COMPLIANCE

The global regulatory environment governing digital platforms, artificial intelligence, accessibility technologies, online marketplaces, cybersecurity, consumer protection, transportation services, financial services, electronic communications and data protection continues to evolve.

Accordingly, ORO Technologies LLC maintains a continuous compliance approach intended to monitor legal developments, evaluate regulatory changes and implement reasonable operational, contractual or technological modifications whenever appropriate.

ORO reserves the right to modify, suspend, replace, restrict or discontinue any Platform functionality, operational procedure, accessibility feature, artificial intelligence capability, communication method, verification process, payment option, safety tool or other Platform component whenever reasonably necessary to:

comply with applicable law;

respond to governmental directives;

implement regulatory guidance;

address judicial decisions;

maintain operational integrity;

enhance cybersecurity;

improve accessibility;

protect users;

or support legitimate business operations.

Users acknowledge that regulatory compliance is an ongoing process and that Platform functionality may evolve over time in response to changing legal requirements.

Nothing contained within this Framework shall be interpreted as creating any obligation for ORO to maintain any particular feature, service configuration or operational process indefinitely.

16. CROSS-BORDER OPERATIONS

Because ORO operates as a global technology platform, certain Platform operations, technological infrastructure, cloud services, software development activities, customer support functions, security operations, data processing activities or administrative functions may occur across multiple jurisdictions.

Such international operations shall be conducted in accordance with applicable legal requirements governing cross-border business activities, international data transfers, cybersecurity obligations, export controls, sanctions programs, contractual commitments and other applicable regulatory requirements.

Users acknowledge that cross-border operational activities are a normal characteristic of globally distributed technology platforms and shall not, by themselves, constitute evidence of regulatory non-compliance.

17. THIRD-PARTY REGULATORY RESPONSIBILITIES

The ORO Platform interacts with numerous independent third parties whose services, infrastructure or operations may be subject to separate legal and regulatory obligations.

Such third parties may include, without limitation:

independent transportation providers;

payment processors;

cloud infrastructure providers;

mapping services;

telecommunications providers;

identity verification vendors;

artificial intelligence providers;

voice recognition technology providers;

security monitoring companies;

emergency communication service providers;

government-certified contractors;

insurance providers;

and other independent service providers.

Each independent third party remains solely responsible for complying with the laws and regulations applicable to its own operations.

Nothing within this Framework shall be interpreted as transferring the independent legal responsibilities of any third party to ORO Technologies LLC.

Similarly, the legal obligations applicable to ORO shall not automatically apply to independent third parties unless expressly required by applicable law or contractual agreement.

18. GOVERNMENTAL ORDERS, REGULATORY INVESTIGATIONS AND LEGAL PROCESSES

ORO may receive governmental requests, judicial orders, administrative demands, regulatory investigations, subpoenas, preservation requests or other legally authorized processes issued by competent authorities.

The Company reserves the right to respond to such legal processes in accordance with applicable law, its legal obligations and the provisions contained throughout the ORO Global Legal Framework.

Nothing contained within this Framework shall be interpreted as limiting ORO's ability to cooperate with competent governmental authorities where legally required or permitted.

19. NO REPRESENTATION OF UNIVERSAL REGULATORY APPROVAL

The availability of the Platform within a particular jurisdiction shall not be interpreted as representing or warranting that:

all governmental licenses have been issued;

all regulatory approvals have been granted;

all transportation providers satisfy applicable legal requirements;

all third-party providers remain continuously compliant;

all Platform features are authorized in every jurisdiction;

or that governmental authorities endorse, certify or supervise the Platform.

Users remain responsible for understanding the laws applicable to their own activities where required.

20. RESERVATION OF REGULATORY RIGHTS

To maintain lawful operations and respond appropriately to evolving legal environments, ORO expressly reserves the right, at any time and without prior notice where permitted by applicable law, to:

modify Platform functionality;

implement jurisdiction-specific operational requirements;

restrict certain features;

introduce additional verification procedures;

request additional documentation;

modify accessibility tools;

update artificial intelligence systems;

change payment methods;

implement new compliance controls;

or suspend specific services whenever reasonably necessary to satisfy applicable legal or regulatory requirements.

Such actions shall not constitute a breach of contract solely because they alter previously available Platform functionality.

21. LIMITATION OF LIABILITY REGARDING REGULATORY MATTERS

To the maximum extent permitted by applicable law, ORO Technologies LLC, together with its affiliates, subsidiaries, officers, directors, employees, contractors, licensors, technology providers and authorized representatives, shall not be liable for losses, damages, claims, penalties, interruptions or other consequences arising from:

changes in applicable laws;

governmental actions;

regulatory investigations;

administrative orders;

licensing requirements;

court decisions;

mandatory Platform modifications;

service restrictions required by law;

cross-border legal requirements;

or regulatory developments beyond the reasonable control of ORO.

Nothing contained herein limits liability where such limitation is prohibited under applicable mandatory law.

22. RELATIONSHIP WITH THE ORO GLOBAL LEGAL FRAMEWORK

This Global Regulatory Compliance Framework forms an integral component of the ORO Global Legal Framework and shall be interpreted consistently with all other governing legal documents, including, without limitation:

Technology Services & Platform Availability Policy

Law Enforcement & Legal Compliance Framework

and all additional policies, disclosures, operational standards, annexes and legal documents published by ORO Technologies LLC.

Each document shall complement the others and shall be interpreted harmoniously to the greatest extent permitted by applicable law.

23. SEVERABILITY

If any provision of this Framework is determined by a court or competent authority to be invalid, unlawful or unenforceable, such determination shall affect only the specific provision involved and shall not impair the validity, legality or enforceability of the remaining provisions.

Any invalid provision shall be interpreted, reformed or limited only to the minimum extent necessary to preserve its intended legal purpose whenever permitted by applicable law.

24. ENTIRE REGULATORY COMPLIANCE FRAMEWORK

This Global Regulatory Compliance Framework constitutes the comprehensive corporate statement of ORO Technologies LLC regarding its approach to regulatory compliance, legal adaptation, cross-border operations, jurisdiction-specific requirements, governmental cooperation, regulatory governance and lawful operation of its global technology Platform.

This Framework shall be interpreted in a commercially reasonable manner consistent with its objective of supporting lawful global Platform operations while preserving technological innovation, operational flexibility, digital accessibility, user safety, responsible corporate governance and long-term regulatory resilience.

Nothing contained within this Framework shall be interpreted as creating any governmental certification, regulatory guarantee, legal opinion, contractual promise of permanent regulatory status or representation that the legal environment governing digital platforms will remain unchanged.

ORO will continue to evaluate, update and strengthen its compliance program as laws, regulations, technologies and international best practices evolve, reaffirming its commitment to responsible innovation and sustainable global operations.
