Effective Immediately

1. PURPOSE, LEGAL STATUS AND GOVERNING FUNCTION OF THIS NOTICE

This Legal Structure and Document Hierarchy Notice (the "Notice") establishes the official legal architecture, document hierarchy, governance framework, interpretative standards, contractual integration principles, compliance structure, and document-precedence rules governing the ORO Marketplace Platform and all related technologies, digital services, voice-interaction systems, accessibility technologies, artificial intelligence functionalities, safety mechanisms, operational frameworks, corporate governance standards, and affiliated legal documentation published by ORO TECHNOLOGIES LLC, together with its subsidiaries, affiliates, controlled entities, authorized operators, independent contractors, licensors, technology providers, and affiliated business partners operating worldwide (collectively, "ORO," the "Company," the "Platform," or the "ORO Corporate Group").

This Notice serves exclusively as the governing framework for the interpretation, integration, hierarchy, coordination, and enforcement of all legal documents comprising the ORO legal ecosystem.

This Notice does not replace, supersede, modify, or independently create service-specific obligations except where expressly stated.

Instead, it establishes the authoritative rules governing how all Platform documents interact with one another and how conflicts, overlaps, inconsistencies, amendments, updates, and future legal instruments shall be interpreted and enforced.

This Notice forms an integral and binding component of the ORO global legal framework and shall be incorporated by reference into all Platform agreements, policies, disclosures, annexes, notices, operational frameworks, and compliance documents.

By accessing, registering for, downloading, interacting with, or using the Platform in any manner, users, providers, merchants, contractors, corporate customers, accessibility-dependent individuals, business partners, and all other participants acknowledge and agree to the legal structure established herein.

2. GLOBAL LEGAL ARCHITECTURE OF THE ORO ECOSYSTEM

ORO operates as a globally distributed technology organization utilizing a unified legal architecture designed to support:

technology services;

voice-first interaction systems;

accessibility-oriented digital services;

artificial intelligence functionalities;

safety and emergency support technologies;

independent service-provider ecosystems;

international regulatory compliance;

consumer protection obligations;

data governance requirements;

cross-border operations;

digital marketplace infrastructure;

and

continuous technological innovation.

Accordingly, the ORO legal ecosystem consists of a structured hierarchy of legal instruments designed to operate as a unified and integrated legal framework rather than as independent contractual documents.

All Platform policies, notices, disclosures, annexes, standards, procedures, and legal instruments must be interpreted collectively and harmoniously within the broader legal framework established by ORO.

No document shall be interpreted in isolation where another applicable document forms part of the same integrated legal structure.

All legal instruments published by ORO shall be deemed components of a unified global legal ecosystem unless expressly designated otherwise.

3. MASTER LEGAL HIERARCHY AND DOCUMENT PRECEDENCE

For purposes of interpretation, enforcement, governance, legal consistency, regulatory compliance, and dispute resolution, the ORO legal ecosystem shall operate according to the following hierarchy of legal authority.

Tier One – Master Contractual Framework

The highest level of legal authority within the Platform ecosystem shall be:

Global Terms and Conditions of Use, Service, Technology and Community Framework

which constitutes the primary contractual agreement governing access to and use of the Platform.

The Terms and Conditions serve as the foundational legal framework upon which all other Platform documents are built.

Except where mandatory law requires otherwise, all other legal instruments derive their authority from and remain subordinate to the Terms and Conditions.

Tier Two – Core Governance Policies

The following documents constitute primary governance instruments and operate immediately below the Terms and Conditions:

Global Privacy, Security and Data Governance Policy

Global Safety, S.O.S., Emergency Response, Incident Management, Accessibility Protection and Platform Security Framework

Voice, Accessibility & Emergency Policy

Accessibility, Voice Technology & Artificial Intelligence Policy

Voice Command Authorization, User Instructions and Digital Action Validation Policy

Acceptable Use & Legal Enforcement Policy

Global Community Guidelines & Global Code of Conduct

These documents establish platform-wide compliance requirements, behavioral standards, privacy obligations, accessibility requirements, operational safeguards, technological limitations, and risk-management frameworks.

Tier Three – Operational Frameworks

The following documents govern specific operational relationships and service categories:

Global Driver, Independent Provider, Accessibility, Voice Technology, Safety, Data Protection and Platform Operations Framework

Global Merchant & Business Partner Terms and Conditions

Global Payments, Billing, Settlements, Refunds and Financial Compliance Framework

Global Safety and Driver Conduct Policy

Global Service Animals, Assistive Devices, Accessibility, Inclusion and Non-Discrimination Policy

Master Accessibility & Inclusive Services Policy

and any future operational framework designated by ORO.

Tier Four – Annexes and Service-Specific Instruments

Annexes operate as specialized extensions of higher-level documents and include:

Passenger Annexes

Driver Annexes

Motorcycle Services Annexes

Country-Specific Service Annexes

Accessibility Annexes

Provider Annexes

Regional Compliance Addenda

International Data Transfer Addenda

and future service-specific legal instruments.

Annexes supplement but do not replace higher-level governing documents.

Tier Five – Supplemental Notices, Disclosures and Informational Documents

The lowest level of legal authority includes:

App Store Disclosures

Public Health Disclosures

Pricing Disclosures

Operational Notices

Help Center Materials

Educational Content

Compliance Notices

Technical Documentation

User Guidance Materials

Frequently Asked Questions

and similar informational resources.

These materials are intended primarily to provide transparency, education, operational guidance, or regulatory disclosures and shall not override higher-ranking legal instruments.

3.1 CORPORATE GOVERNANCE AND ENTITY SEPARATION PRINCIPLE

Nothing within the ORO legal framework, Platform architecture, branding structure, technology ecosystem, operational model, contractual documentation, compliance framework, accessibility systems, voice technologies, artificial intelligence tools, safety mechanisms, affiliated entities, regional operators, licensees, contractors, or business relationships shall be interpreted as creating a single legal enterprise, unified operational entity, joint employer structure, alter ego relationship, agency relationship, or consolidated liability framework.

Each subsidiary, affiliate, regional operator, independent contractor, licensee, franchisee, business partner, technology provider, and third-party service provider shall remain solely responsible for its own legal obligations, regulatory compliance requirements, operational activities, liabilities, and business decisions.

To the maximum extent permitted by applicable law, liabilities shall remain allocated exclusively to the entity or person responsible for the underlying conduct.

4. CONFLICT RESOLUTION BETWEEN DOCUMENTS

In the event of any inconsistency, ambiguity, overlap, conflict, contradiction, omission, or interpretative uncertainty between two or more Platform documents, the document occupying the higher position within the hierarchy established in this Notice shall prevail.

Where multiple documents occupy the same hierarchical level, the more specific provision shall prevail over the more general provision.

Where two provisions of equal specificity conflict, the most recently published version shall govern.

Nothing herein shall be interpreted as limiting the application of mandatory legal requirements that cannot legally be waived.

5. INTEGRATED INTERPRETATION PRINCIPLE

All Platform documents shall be interpreted as parts of a single integrated legal framework.

No document shall be interpreted in a manner that:

creates unnecessary conflict;

renders another document ineffective;

produces inconsistent legal obligations;

duplicates liabilities not expressly assumed;

expands obligations beyond those expressly accepted by ORO;

or undermines the Platform's technology-intermediary operating model.

All legal instruments shall be interpreted in a manner that promotes:

legal consistency;

regulatory compliance;

platform integrity;

operational scalability;

accessibility objectives;

technological neutrality;

risk management;

and

commercial reasonableness.

5.1 NO EXPANSION OF LIABILITY THROUGH INTERPRETATION

No Platform document shall be interpreted in a manner that expands, creates, implies, or imposes obligations, duties, warranties, guarantees, fiduciary responsibilities, supervisory obligations, safety obligations, emergency-response obligations, employment obligations, caregiving duties, regulatory responsibilities, or liabilities that have not been expressly assumed by ORO Technologies LLC in writing.

Any ambiguity shall be interpreted in a manner consistent with:

the Platform's technology-intermediary status;

the limitation of liability provisions;

the independent-contractor framework;

the corporate-separation structure;

and the operational reality of a digital marketplace platform.

6. TECHNOLOGY INTERMEDIARY INTERPRETATION RULE

All Platform documents shall be interpreted consistently with the fundamental principle that ORO operates as a technology company and digital marketplace infrastructure provider.

Nothing within any Platform document shall be interpreted as creating, implying, or expanding any status as:

transportation carrier;

public carrier;

common carrier;

taxi company;

dispatch operator;

logistics provider;

courier operator;

emergency-response organization;

security company;

medical provider;

caregiving organization;

assisted-living provider;

law-enforcement agency;

or

governmental authority.

All legal instruments shall be interpreted consistently with ORO’s role as a neutral technology intermediary facilitating interactions among independent third parties.

7. ACCESSIBILITY, VOICE TECHNOLOGY AND INCLUSION INTERPRETATION STANDARD

Because ORO operates a voice-first and accessibility-oriented technology platform designed to improve usability for elderly users, persons with disabilities, accessibility-dependent individuals, and users with varying levels of technological literacy, all Platform documents shall be interpreted consistently with the Platform's inclusion objectives.

However, accessibility-oriented features, voice-interaction systems, artificial intelligence functionalities, assistive technologies, safety features, emergency tools, communication systems, and inclusion-focused design elements shall not be interpreted as creating:

special duties of care;

fiduciary obligations;

guardianship relationships;

medical responsibilities;

caregiving duties;

emergency-response obligations;

enhanced liability standards;

or

special protective relationships

beyond those expressly required by applicable law.

Accessibility features are intended to improve usability and inclusion and shall not alter the underlying legal relationship between ORO and Platform participants.

8. GLOBAL COMPLIANCE AND REGULATORY ALIGNMENT

The ORO legal framework is designed to operate across multiple jurisdictions with varying legal, regulatory, privacy, accessibility, consumer-protection, and technology-governance requirements.

Accordingly, all Platform documents shall be interpreted in a manner that maximizes compliance with:

privacy laws;

consumer-protection regulations;

accessibility requirements;

digital-services regulations;

artificial intelligence governance frameworks;

electronic transaction laws;

cybersecurity obligations;

cross-border data-transfer requirements;

and

platform-regulation frameworks.

Where local law requires modification of a particular provision, only the minimum modification necessary to achieve compliance shall apply.

All remaining provisions shall remain in full force and effect.

8.1 COMPLIANCE OBJECTIVES AND LIMITATIONS

Although ORO seeks to maintain compliance with applicable legal and regulatory requirements across multiple jurisdictions, nothing within this Notice or any Platform document shall be interpreted as a representation, warranty, certification, guarantee, or legal opinion that the Platform complies with every law, regulation, licensing requirement, accessibility standard, technological mandate, or regulatory framework in every jurisdiction at all times.

Compliance obligations may vary by jurisdiction, service category, technological capability, local implementation, regulatory interpretation, and operational circumstances.

ORO reserves the right to implement jurisdiction-specific controls, restrictions, modifications, disclosures, or operational limitations as necessary to address applicable legal requirements.

9. FUTURE DOCUMENTS, AMENDMENTS AND LEGAL EVOLUTION

The Platform operates within a continuously evolving legal and technological environment.

Accordingly, ORO reserves the unrestricted right to publish, modify, replace, amend, withdraw, consolidate, restructure, or discontinue any policy, framework, annex, disclosure, operational standard, compliance document, accessibility framework, voice-technology document, artificial intelligence policy, safety mechanism, governance instrument, or legal notice.

Any future document published by ORO shall automatically become part of the integrated legal framework unless expressly designated otherwise.

Future documents shall be assigned a hierarchical position consistent with this Notice.

Continued use of the Platform following publication of updates constitutes legally binding acceptance of such modifications to the maximum extent permitted by applicable law.

10. LANGUAGE, TRANSLATIONS AND AUTHORITATIVE VERSION

For purposes of legal interpretation, enforcement, regulatory review, dispute resolution, compliance assessment, arbitration, litigation, governmental inquiry, and contractual construction, the official English-language version of every Platform document shall constitute the controlling and authoritative version.

Translations may be provided solely for convenience, accessibility, and informational purposes.

In the event of any inconsistency, discrepancy, conflict, omission, or difference between a translated version and the English-language version, the English-language version shall prevail to the maximum extent permitted by applicable law.

11. SEVERABILITY AND CONTINUING ENFORCEABILITY

If any provision of this Notice or any related Platform document is determined by a court, regulator, arbitrator, or competent authority to be invalid, unenforceable, unlawful, or inconsistent with applicable law, such provision shall be modified only to the minimum extent necessary to achieve enforceability.

The remaining provisions shall continue in full force and effect.

No invalidity affecting one document shall invalidate the broader legal framework unless expressly required by law.

11.1 SURVIVAL OF CORE PROTECTIVE PROVISIONS

Any provision relating to:

limitation of liability;

indemnification;

disclaimers;

corporate separateness;

intellectual property;

arbitration;

governing law;

data protection;

risk allocation;

emergency-response limitations;

accessibility limitations;

voice-technology limitations;

AI-related disclosures;

or dispute resolution

shall survive termination of services, account closure, policy withdrawal, contractual expiration, platform discontinuation, or cessation of user activity to the maximum extent permitted by applicable law.

12. GLOBAL LEGAL INTEGRATION NOTICE

This Notice forms part of the unified global legal, operational, technological, accessibility, cybersecurity, compliance, artificial intelligence, voice-technology, safety, risk-management, governance, and corporate framework governing the ORO Marketplace Platform and all related technologies operated by ORO Technologies LLC and its affiliated ecosystem.

The framework includes, without limitation, the Global Terms and Conditions, Global Privacy, Security and Data Governance Policy, Safety, S.O.S., Emergency Response and Accessibility Framework, Voice, Accessibility & Emergency Policy, Accessibility, Voice Technology & Artificial Intelligence Policy, Acceptable Use & Legal Enforcement Policy, Global Community Guidelines & Code of Conduct, Accessibility Annexes, Driver and Provider Frameworks, Merchant Frameworks, Payment and Financial Compliance Policies, Intellectual Property Policies, Data Transfer Addenda, Corporate Governance Standards, and all related legal notices, disclosures, operational standards, compliance requirements, future amendments, and governance documents published by ORO Technologies LLC.

Continued access to, registration on, interaction with, or use of the Platform constitutes legally binding acknowledgment, acceptance, incorporation, and application of the complete ORO legal framework, including all future modifications, to the maximum extent permitted under applicable law.
