🛡️ ORO DRIVER GUIDE – INCLUSIVE, ACCESSIBLE SERVICES & DATA PROTECTION FRAMEWORK

Global Legal, Compliance, Risk Management and Operational Framework – ORO Technologies LLC

1. LEGAL NATURE, STATUS AND INTERPRETATION

The present ORO Driver Guide for Inclusive, Accessible Services & Data Protection (the “Guide”) is issued by Oro Technologies LLC (“ORO”, the “Company”, or the “Platform”) as a global, non-binding, compliance-oriented, informational and operational framework intended to support independent drivers in the provision of inclusive mobility services within a technology-enabled environment.

This Guide constitutes a binding operational compliance framework applicable to independent drivers operating on the ORO Platform, and forms part of the contractual ecosystem governing service quality, safety, accessibility standards, and data protection obligations.

This Guide is non-binding only to the extent that it does not override mandatory applicable law or formally executed Driver Agreements. In all other respects, it establishes enforceable operational and compliance standards within the Platform ecosystem.

Drivers expressly acknowledge and agree that they operate at all times as independent third-party service providers, exercising full autonomy over their decisions, operations, compliance obligations, and risk management, and assuming full legal responsibility for their activities.

2. SCOPE OF APPLICATION AND VOLUNTARY PARTICIPATION

This Guide applies exclusively to drivers who voluntarily elect to provide services to passengers requiring accessibility support, including but not limited to persons with disabilities, older adults, individuals with reduced mobility, sensory impairments, cognitive conditions, or any temporary or permanent accessibility need, as well as passengers whose personal data may be processed in the course of service delivery.

Participation in inclusive or accessibility-related services is strictly voluntary in nature, except where mandatory obligations are imposed by applicable law. Drivers retain full discretion to accept or decline any service request, subject only to legal restrictions in their jurisdiction, including applicable anti-discrimination laws.

The purpose of this Guide is to establish globally aligned service standards, risk allocation clarity, and data protection expectations, without creating operational control, supervision, or direction by ORO over drivers.

3. GLOBAL REGULATORY AND COMPLIANCE FRAMEWORK

Drivers are solely and exclusively responsible for complying with all applicable local, national, and international laws governing their activities, including but not limited to those relating to transportation services, accessibility rights, anti-discrimination, safety standards, consumer protection, and data protection.

Such frameworks may include, without limitation, the United Nations Convention on the Rights of Persons with Disabilities (CRPD), the Americans with Disabilities Act (ADA), the Equality Act, the European Accessibility Act, and any equivalent or successor legislation applicable in the jurisdiction of operation.

With respect to personal data processing and digital security, drivers are required to comply with all applicable regulatory regimes, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA/CPRA), the Florida Information Protection Act (FIPA), and any other relevant privacy or cybersecurity laws.

ORO does not act as a regulatory authority and does not assume responsibility for driver non-compliance.

4. CORE PRINCIPLES OF INCLUSIVE AND RESPONSIBLE SERVICE

Drivers are expected to conduct their activities in alignment with globally recognized principles of inclusion, non-discrimination, dignity, safety, autonomy, and responsible data handling.

All interactions with passengers must respect personal autonomy, avoid discriminatory behavior where prohibited by law, and ensure that assistance is provided only where requested or legally required.

Drivers acknowledge that ORO operates exclusively as a technology platform and does not direct, control, or supervise the execution of services.

5. ACCESSIBILITY FRAMEWORK AND DEFINITIONS

For purposes of operational clarity, accessibility shall be understood as the condition that enables all individuals to access transportation services safely, independently, and with dignity, regardless of physical, sensory, or cognitive ability.

Inclusive transportation refers to services designed or adapted to be usable by all individuals, while adapted transport refers to services provided through vehicles equipped with specialized features such as ramps, lifts, securement systems, or other accessibility mechanisms.

Drivers who elect to offer such services assume full responsibility for their implementation, safety, compliance, and operation.

6. VEHICLE, EQUIPMENT AND OPERATIONAL RESPONSIBILITY

Drivers providing accessibility-related services may operate vehicles equipped with specialized equipment, including but not limited to ramps, lifts, wheelchair securement systems, and entry or exit assistance mechanisms.

Drivers expressly acknowledge that ORO does not inspect, certify, validate, or guarantee the condition, safety, regulatory compliance, or functionality of any vehicle or equipment used in connection with the Platform.

All responsibility for maintenance, compliance with applicable regulations, safe operation, and risk management rests solely with the driver. ORO shall not be liable for any damages, injuries, losses, or incidents arising from equipment malfunction, improper use, or regulatory non-compliance.

7. DRIVER LEGAL STATUS AND DOCUMENTATION

Drivers are solely responsible for maintaining all legally required documentation, including but not limited to valid identification, licenses, permits, insurance coverage, certifications, and any additional regulatory approvals required in their jurisdiction.

ORO does not verify or guarantee the legal eligibility of drivers beyond platform onboarding processes and shall not be liable for any consequences arising from non-compliance, expiration, or invalidity of such documentation.

8. PASSENGER INTERACTION AND SUPPORT STANDARDS (NON-BINDING)

This Guide provides general, non-binding guidance for interacting with passengers requiring accessibility support. Drivers are expected to exercise reasonable judgment, professionalism, and respect in all circumstances.

Drivers shall not provide physical assistance without consent, shall not interfere with assistive devices or service animals, and shall respect personal boundaries and communication needs. Any assistance provided must preserve the dignity, autonomy, and decision-making authority of the passenger.

These provisions are advisory only and do not create enforceable obligations beyond those required by law.

9. SERVICE ANIMALS, COMPANIONS AND ASSISTED TRAVEL

Drivers shall comply with all applicable laws regarding service animals, which must be accepted where legally required and shall not be treated as pets or subject to discretionary refusal.

Passengers may travel with companions or personal assistants where permitted by law, and drivers shall respect such arrangements, giving priority to the passenger’s decisions and preferences.

10. MEDICAL EQUIPMENT AND LIABILITY LIMITATIONS

Passengers may carry medical or assistive equipment, including but not limited to wheelchairs, oxygen tanks, mobility aids, and other devices.

Drivers shall not handle, install, or operate such equipment without explicit consent from the passenger.

ORO assumes no liability for equipment malfunction, improper installation, misuse, or any medical incident arising in connection with such equipment. All risks associated with such devices remain with the passenger and the driver.

11. EMERGENCY SITUATIONS AND LIMITATIONS

Drivers retain full responsibility for responding to emergency situations. In all circumstances, driver safety shall take priority.

Drivers are expected to contact appropriate emergency services and may use platform tools where available; however, ORO does not provide emergency response services and assumes no responsibility for outcomes arising from emergency situations.

EMERGENCY ESCALATION AND THIRD-PARTY SECURITY INTEGRATION

The Platform may route emergency or SOS signals to independent third-party security providers who operate under separate contractual arrangements and regulatory obligations. Such third-party providers may, at their sole discretion, coordinate with local law enforcement or emergency response authorities.

ORO does not operate as an emergency service provider, does not guarantee emergency response, and does not control or supervise the actions of third-party security entities or governmental authorities.

The User acknowledges that all emergency escalation processes are dependent on external infrastructure, including telecommunications networks, third-party security systems, and public authorities, and may be subject to delays, failures, or unavailability.

12. DATA PROTECTION, CYBERSECURITY AND CONFIDENTIALITY FRAMEWORK

Drivers may have access to limited personal data strictly necessary for the execution of services, including but not limited to user identification, location, trip details, and limited transactional information.

Such data must be processed in strict compliance with applicable laws and ORO policies. Drivers are required to implement reasonable technical and organizational security measures, including secure authentication, device protection, confidentiality controls, and adherence to industry-standard cybersecurity practices.

Drivers expressly agree not to access, use, disclose, retain, or process personal data beyond what is strictly necessary for service execution and shall not share such data with unauthorized third parties.

Drivers assume full responsibility for the security of their devices, systems, and credentials.

13. DATA BREACH AND INCIDENT REPORTING

Drivers must report any actual or suspected data breach, unauthorized access, or cybersecurity incident to ORO without undue delay and, in all cases, within a maximum period of twenty-four (24) hours from becoming aware of such incident.

Failure to comply may result in suspension, termination, and legal action, in addition to any liability under applicable law.

14. PROHIBITED CONDUCT AND ENFORCEMENT

Drivers shall not engage in unlawful, discriminatory, abusive, unsafe, or fraudulent conduct, including but not limited to refusal of service where prohibited by law, unauthorized charges, non-consensual contact, harassment, or unsafe handling of passengers or equipment.

ORO reserves the right to suspend or terminate access to the Platform and pursue legal action where necessary.

15. LIMITATION OF LIABILITY AND RISK ALLOCATION

To the maximum extent permitted by applicable law, ORO operates solely as a technology intermediary platform and shall not be liable for any direct, indirect, incidental, or consequential damages arising from driver actions, passenger conduct, vehicle conditions, accessibility outcomes, equipment failures, or data misuse by third parties.

All services are performed by independent third-party drivers who assume full responsibility for execution and compliance, including any outcomes related to voice-based interactions, accessibility-related misinterpretations, or failure of assistive user interfaces, which are inherent risks of voice-first digital systems.

16. VOICE-FIRST INCLUSION AND PLATFORM PURPOSE

ORO operates as a voice-first technology platform designed to eliminate digital barriers and enable access to mobility services for populations traditionally excluded from digital ecosystems, including older adults and individuals with disabilities.

The Platform does not guarantee technological performance, accuracy, or uninterrupted availability of voice-based systems and shall not be liable for errors or limitations inherent to such technologies.

The voice-first architecture is implemented as an accessibility enhancement layer designed to support elderly users and persons with disabilities, and shall not be interpreted as a medical device, assistive technology certification system, or emergency response infrastructure.

The Platform does not guarantee uninterrupted voice functionality and shall not be liable for failures resulting from device limitations, operating system restrictions, or third-party dependencies.

17. REASONABLE ACCOMMODATIONS

Reasonable accommodations shall be understood as adjustments required by applicable law that do not impose disproportionate or undue burden.

Drivers are not required to provide accommodations beyond their legal obligations, technical capacity, or safety limitations.

18. LEGAL HIERARCHY AND INTERPRETATION

In the event of conflict, the following order of precedence shall apply: applicable law, Terms and Conditions, Independent Contractor Agreement, Platform Policies, and finally this Guide, which shall remain non-binding and subordinate.

19. ACCEPTANCE AND ACKNOWLEDGMENT

By registering, accessing, or using the Platform, drivers acknowledge that they have read, understood, and accepted all applicable legal documents, including data protection obligations and platform policies, and agree that services are performed independently and at their own risk.

Where permitted by law, drivers agree to binding dispute resolution mechanisms and waive collective legal actions.

20. FINAL CORPORATE STATEMENT

ORO is committed to enabling global accessibility, inclusive mobility, and secure digital infrastructure through a technology-first model that connects users and independent service providers.

All operational responsibility remains with third parties, and the Platform shall be interpreted strictly within its role as a technological intermediary.

21. STRUCTURAL SEPARATION AND NO RELIANCE

Drivers expressly acknowledge that the Platform operates under a strict structural separation model, whereby ORO provides only technological infrastructure and does not control, direct, supervise, or assume responsibility for service execution.

Drivers further agree that no reliance shall be placed on the Platform as a substitute for professional judgment, legal compliance, or independent operational decision-making.

GLOBAL LEGAL INTEGRATION NOTICE

These Terms form part of the unified global legal framework governing the ORO Marketplace Platform, including the Privacy Policy, Accessibility & Voice Policy, Community Guidelines, Safety Framework, Refund Policy, and all related legal disclosures published by Oro Technologies LLC.

Continued access to or use of the Platform constitutes legally binding acceptance of all applicable policies and future updates.
