PREAMBLE AND SCOPE
In compliance with applicable laws and as an integral part of the corporate legal framework of Oro Technologies LLC, together with its affiliates, subsidiaries, independent operators, contractors, licensors, and related entities worldwide (collectively, the “Company” or “ORO”), this Clause establishes the binding terms governing use of the platform, allocation of risk, limitation of liability, legal obligations, and enforcement rights applicable to all users, including but not limited to drivers, passengers, customers, corporate clients, contractors, vendors, partners, and any third parties accessing or using the platform.
Access to, registration with, or use of the platform constitutes full, express, irrevocable, and legally binding acceptance of this Clause.
1. ABSOLUTE PROHIBITION OF ILLEGAL ACTIVITIES
The Company maintains a strict zero-tolerance policy toward any unlawful, illicit, or public-order–violating conduct.
Users are strictly prohibited from using the platform to engage in, facilitate, promote, coordinate, or execute—directly or indirectly—any of the following:

Activities involving illegal drugs or controlled substances

Human trafficking or any form of human exploitation
-
Sexual exploitation, prostitution, or related conduct
-
Crimes against property (including fraud, theft, forgery, scams, or misrepresentation)

Kidnapping, unlawful detention, coercion, or extortion

Violence, harassment, intimidation, abuse, or threats of any kind
-
Terrorist activities or acts affecting public safety or national security
-
Money laundering, illicit financing, or financial crimes
-
Cybercrime, unauthorized system access, or digital fraud
-
Animal abuse, cruelty, or exploitation
-
Any other activity deemed illegal under applicable local, national, or international law
The Company may take immediate enforcement action without prior notice, including permanent account termination and reporting to competent authorities.
1.1 PROHIBITED MISUSE OF ACCESSIBILITY, VOICE AND ASSISTIVE TECHNOLOGIES
Because the Platform incorporates voice-first interfaces, accessibility-oriented technologies, assistive systems, speech-recognition tools, artificial intelligence functionalities, and inclusion-focused features designed to facilitate access for elderly individuals, persons with disabilities, and users with limited digital literacy, Users shall not misuse, manipulate, exploit, interfere with, circumvent, test, disrupt, or abuse such functionalities.
Without limitation, Users are prohibited from:

intentionally triggering false commands;
-
attempting to manipulate voice-recognition systems;
-
exploiting accessibility functionalities for unauthorized purposes;
-
generating fraudulent transactions through voice commands;
-
using assistive technologies to circumvent security controls;
-
attempting to create false emergency events;
-
interfering with accessibility-related services;
-
misrepresenting disabilities or accessibility needs for fraudulent purposes.
Any such conduct may result in immediate enforcement action.
2. GENERAL OBLIGATION OF LEGAL COMPLIANCE
All users expressly agree to:

Comply with all applicable local, national, and international laws, regulations, and industry standards

Use the platform in a lawful, responsible, diligent, and ethical manner
-
Refrain from any conduct that may expose the Company to direct or indirect liability
At the Company’s sole discretion, any violation may result in:

Immediate suspension
-
Permanent account termination
-
Service cancellation
-
Access restriction or denial
-
Reporting to regulatory or law enforcement authorities
3. ENFORCEMENT, MONITORING AND INVESTIGATION RIGHTS
To the maximum extent permitted by law, the Company reserves the unilateral right, at its sole discretion and without prior notice, to:

Suspend, restrict, deactivate, or permanently remove accounts

Monitor, audit, and analyze platform usage and behavior patterns
-
Investigate any suspicious, abusive, or potentially unlawful activity
-
Request additional information, identity verification, or documentation
-
Share data with competent authorities or authorized third parties where legally justified
These rights may be exercised on a preventive, corrective, compliance, or enforcement basis.
3.1 ACCOUNT INTEGRITY, IDENTITY VERIFICATION AND AUTHENTICITY
Users shall maintain accurate, current, complete, and truthful account information at all times.
Users shall not:

create false accounts;

impersonate other individuals;
-
use stolen identities;
-
use synthetic identities;
-
provide misleading information;
-
maintain duplicate accounts intended to evade enforcement actions;
-
transfer accounts to third parties;
-
permit unauthorized account access.
ORO may conduct identity verification procedures at any time and may suspend access pending verification.
3.2 PLATFORM SECURITY AND DEVICE RESPONSIBILITY
Users remain solely responsible for:

devices used to access the Platform;
-
passwords;
-
authentication credentials;
-
biometric credentials;
-
voice-authentication mechanisms;
-
account security controls.
ORO shall not be liable for unauthorized access resulting from:
-
lost devices;
-
stolen devices;
-
compromised credentials;
-
shared accounts;
-
insecure networks;
-
malware;
-
phishing attacks;
-
third-party device compromise.
4. NATURE OF THE SERVICE – TECHNOLOGY INTERMEDIATION ONLY
The Company operates solely as a technology platform provider that enables connections between independent users.

Drivers, couriers, and service providers are independent contractors
-
They are not employees, agents, representatives, joint venturers, or partners of the Company
The Company:

Does not provide transportation or logistics services
-
Does not control or direct the execution of services performed by users
-
Does not supervise or manage third-party service delivery
-
Assumes no liability for user conduct or service performance
4.1 NO EMERGENCY RESPONSE SERVICES
ORO operates exclusively as a technology provider.
ORO is not:

a police agency;
-
emergency dispatch center;
-
ambulance provider;
-
healthcare provider;
-
security company;
-
emergency-response organization;
-
public-safety authority.
Any emergency-related functionality, including S.O.S. alerts, emergency notifications, location-sharing tools, communications systems, safety-related technologies, or voice-activated emergency features, serves solely as a technological facilitation mechanism.
Where available, emergency notifications may be transmitted to independent third-party emergency-support partners operating under separate legal and operational frameworks.
ORO does not monitor emergency events in real time and does not guarantee intervention, response, dispatch, assistance, protection, rescue, medical support, law-enforcement action, or safety outcomes
5. USE AT OWN RISK
Users expressly acknowledge and agree that use of the platform is entirely at their own risk.
The Company makes no guarantees regarding:

The conduct, identity, qualifications, legality, or suitability of other users
-
Continuous, uninterrupted, secure, or error-free operation of the platform
-
The absence of incidents, disruptions, or events beyond its control
6. GLOBAL LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, the Company shall not be liable for:

Indirect, incidental, special, exemplary, punitive, or consequential damages
-
Loss of revenue, profits, business opportunities, data, goodwill, or reputation
-
Personal injury, bodily harm, or death
-
Property damage or loss
-
Any economic or financial losses of any nature
In all cases, the total cumulative liability of the Company shall not exceed the amount actually paid by the user to the Company during the thirty (30) days preceding the event giving rise to the claim, or the minimum amount permitted by law, whichever is lower, even if the Company has been advised of the possibility of such damages.
This limitation applies regardless of the legal theory, whether in contract, tort, strict liability, or otherwise.
7. ASSUMPTION OF RISK AND RELEASE
Users expressly assume all risks arising from platform use and hereby release and discharge the Company, to the fullest extent permitted by law, from any liability related to:

Interactions between users

Acts or omissions of third parties

Events beyond the Company’s reasonable control (force majeure or otherwise)
8. INDEMNIFICATION
Users agree to indemnify, defend, and hold harmless the Company and its affiliates, shareholders, directors, officers, employees, contractors, licensors, and representatives from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Misuse of the platform

Negligent, fraudulent, unlawful, or intentional misconduct
9. DISCLAIMER OF LIABILITY FOR THIRD PARTIES
The Company shall not be responsible or liable for any acts, omissions, or conduct of:

Passengers
-
Users
-
Vendors or service providers
-
Any third parties
All interactions and transactions occur solely at the risk and responsibility of the users involved.
10. LEGAL COOPERATION AND DATA DISCLOSURE
The Company may cooperate with local, national, and international authorities and disclose information where:

Required by law, regulation, court order, or competent authority

There is a reasonable suspicion of illegal or harmful activity
-
Necessary to protect the safety, rights, property, or integrity of users or the platform
All disclosures shall be conducted in accordance with principles of legality, proportionality, necessity, and good faith.
10.1 PRESERVATION OF EVIDENCE AND INVESTIGATIVE RIGHTS
ORO reserves the unrestricted right, subject to applicable law, to preserve, collect, review, analyze, store, disclose, and utilize records relating to:

account activity;

device information;
-
authentication logs;
-
voice interactions;
-
accessibility-related interactions;
-
transaction records;
-
payment records;
-
geolocation data;
-
communications;
-
AI-generated interactions;
-
fraud investigations;
-
regulatory inquiries;
-
safety reports;
-
emergency-related events.
Such information may be preserved for purposes of:

litigation;
-
arbitration;
-
regulatory compliance;
-
fraud prevention;
-
law-enforcement cooperation;
-
risk management;
-
platform integrity.

Users shall not utilize the Platform in violation of:

anti-corruption laws;
-
anti-bribery laws;
-
anti-money laundering regulations;
-
counter-terrorist financing laws;
-
international trade restrictions.
ORO reserves the right to suspend, restrict, terminate, block, or refuse access where required for legal or compliance reasons.
11. DISPUTE RESOLUTION, GOVERNING LAW AND JURISDICTION
This Clause shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles, and subject to mandatory local legal requirements where applicable.
To the fullest extent permitted by law:

Disputes shall be resolved through binding arbitration or alternative dispute resolution mechanisms designated by the Company

Users expressly waive any right to participate in class actions, collective claims, or representative proceedings

Jurisdiction shall be exclusively determined by the Company
All proceedings shall be conducted on an individual basis only, not consolidated or collective.
11.1 Waiver of Jury Trial
To the fullest extent permitted by law, users expressly waive any right to a trial by jury in any legal proceeding arising out of or related to the use of the platform.
12. CONTRACTUAL INTEGRATION AND PREVALENCE
This Clause forms an integral and binding part of:

In the event of conflict, the interpretation that provides the maximum legal protection to the Company shall prevail, to the extent permitted by law.

Continued use of the platform constitutes full acceptance of any modifications.
14. VALIDITY AND ENFORCEABILITY
If any provision of this Clause is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
DATA, PLATFORM & DIGITAL RISK DISCLAIMER
The Company does not guarantee that the platform will be free from cyberattacks, data breaches, system failures, or unauthorized access. Users acknowledge inherent risks in digital platforms and agree that the Company shall not be liable for any damages arising from such events, except where required by law.

15. SURVIVAL OF ENFORCEMENT RIGHTS

shall survive account closure, suspension, restriction, termination, discontinuation of services, or cessation of Platform use and shall remain enforceable to the maximum extent permitted by applicable law.
FINAL LEGAL NOTICE
Accessing, registering with, or using the platform constitutes full, express, irrevocable, and legally binding acceptance of this Clause.
Any violation of its provisions shall be deemed a material breach, entitling the Company to take immediate action, including suspension or termination of access and initiation of legal proceedings, without liability to ORO to the fullest extent permitted by law.
GLOBAL LEGAL INTEGRATION NOTICE
These Terms, Policies, Annexes, Disclosures, and related legal frameworks form part of the unified global legal, operational, technological, accessibility, cybersecurity, compliance, and risk-management architecture governing the ORO Marketplace Platform operated by ORO Technologies LLC and its affiliated ecosystem.
Such integrated framework includes, without limitation:

the Global Privacy, Security and Data Governance Policy;

the Safety, S.O.S., Emergency Response & User Protection Framework;

Continued access to, interaction with, registration on, or use of the Platform constitutes legally binding acknowledgment, acceptance, and incorporation of all applicable policies, limitations, disclaimers, technological conditions, liability restrictions, and future modifications to the maximum extent permitted under applicable law.
