Global Operational Annex – Part of the ORO Legal Ecosystem

 

This document constitutes a specific service annex (the “Annex”) and forms an integral part of the Global Terms & Conditions of Oro Technologies LLC.
In case of conflict, the Global Terms & Conditions shall prevail.​

CORPORATE PLATFORM DISCLOSURE

ORO Technologies LLC ("ORO") operates a global technology platform designed to facilitate digital communication, accessibility, trip coordination, courier requests, delivery requests, and marketplace interactions between independent users and independent third-party service providers.

ORO is not a transportation company, motorcycle carrier, logistics operator, courier company, freight company, delivery company, dispatch center, fleet operator, vehicle owner, or employer of drivers, riders, couriers, or delivery personnel.

The Platform functions solely as a technology-based marketplace that enables users and independent third-party providers to connect and interact through digital tools, including voice-enabled accessibility technologies, geolocation functionality, communication systems, payment facilitation tools, and safety-support features.

ORO does not own, lease, operate, maintain, supervise, manage, direct, or control motorcycles, riders, couriers, delivery personnel, transportation providers, or logistics operations.

All transportation, delivery, courier, and motorcycle-related services available through the Platform are performed independently by third-party providers operating under their own legal responsibility and subject to applicable local laws and regulations.

Nothing contained within this Framework shall be interpreted as creating an employment relationship, agency relationship, partnership, joint venture, franchise relationship, fiduciary relationship, or any other legal relationship between ORO and independent service providers.

1. Scope of Motorcycle Services

These Motorcycle Services Terms and Conditions (“Motorcycle Terms”) govern the use of the ORO platform in connection with:

• motorcycle passenger transportation services
• motorcycle-based courier and delivery services
• hybrid or multi-service logistics operations

The ORO platform operates as a global digital technology marketplace connecting users with independent third-party providers.

 ORO DOES NOT PROVIDE TRANSPORT OR DELIVERY SERVICES.

2. Platform Nature and Legal Status

Oro Technologies LLC (“ORO”) operates exclusively as a technology platform.

ORO:

• does not own or operate vehicles
• does not employ drivers or couriers
• does not act as a carrier, logistics operator, or transport provider
• does not control or direct service execution

All services are performed by independent third-party providers.

 No relationship of employment, agency, joint venture, or partnership is created.

3. Global Regulatory Compliance

Motorcycle services are subject to highly variable legal frameworks worldwide, including:

• transportation laws
• road safety regulations
• commercial delivery regulations
• licensing and insurance requirements

 Some jurisdictions may:

• prohibit motorcycle passenger transport
• restrict delivery use
• impose special licensing requirements

The availability of services through the platform:

 DOES NOT CONSTITUTE LEGAL AUTHORIZATION IN ANY JURISDICTION.

Users and providers are solely responsible for:

• verifying legality
• complying with all laws
• obtaining required permits and licenses

Jurisdictional Restrictions

Motorcycle transportation and motorcycle-based delivery services may be restricted, regulated, limited, licensed, or prohibited in certain jurisdictions.

The availability of a service category through the Platform shall not be interpreted as a representation, warranty, certification, authorization, permit, or legal opinion regarding the legality of such service in any jurisdiction.

Users and independent providers remain solely responsible for determining whether a particular service may legally be requested, offered, performed, or accepted under applicable local law.

4. Independent Provider Obligations

Independent Providers must, at all times:

• hold valid licenses and legal authorization
• maintain legally required insurance
• operate compliant and roadworthy vehicles
• comply with all traffic and safety regulations
• use required protective equipment

For delivery services:

• ensure legality of transported goods
• comply with commercial transport laws
• avoid prohibited or restricted items

 Providers operate under full legal and operational independence.

5. Passenger Responsibilities

Users requesting motorcycle passenger transportation services acknowledge and agree that they are solely responsible for evaluating their own ability, suitability, and willingness to utilize motorcycle transportation services.

Passengers must comply with all applicable laws, safety regulations, and operational requirements, including the proper use of helmets, safety equipment, protective gear, and any other safety measures required by local law or reasonably recommended by the independent provider.

Passengers shall not engage in conduct that may interfere with the safe operation of the motorcycle, create unreasonable risks, distract the rider, violate applicable law, or endanger any person, property, or public roadway.

Passengers are solely responsible for determining whether motorcycle transportation is appropriate for their personal circumstances, physical condition, health status, mobility limitations, or other individual considerations.

ORO does not evaluate, monitor, verify, or guarantee passenger suitability for motorcycle transportation services.

6. Passenger Transport – High Risk Disclosure

Motorcycle passenger transport is inherently high-risk.

Risks include:

• traffic exposure
• environmental conditions
• limited physical protection
• increased injury severity

Users expressly:

acknowledge
accept
assume

all risks associated with motorcycle transport.

7. Voluntary Assumption of Risk

Users expressly acknowledge that motorcycle transportation involves inherent risks that may be greater than those associated with other transportation modalities.

Such risks may include, without limitation, traffic accidents, road hazards, adverse weather conditions, mechanical failures, actions of third parties, infrastructure conditions, rider conduct, vehicle instability, collisions, bodily injury, permanent disability, property damage, or death.

By requesting, accepting, or utilizing motorcycle-related services through the Platform, users voluntarily assume all risks associated with such services to the fullest extent permitted by applicable law.

Users acknowledge that no technology platform, communication system, accessibility tool, safety feature, geolocation service, voice-assistance technology, or operational procedure can eliminate all risks associated with motorcycle transportation.

8. Delivery and Courier Services – Risk Disclosure

Delivery services involve operational risks, including:

• loss or theft
• damage to goods
• delays
• third-party interference

ORO is not responsible for:

• condition of goods
• delivery outcome
• provider conduct

9. Package and Delivery Restrictions

Users and providers may not use the Platform to request, transport, deliver, receive, store, transfer, or facilitate the movement of prohibited items, illegal goods, regulated substances, dangerous materials, or any item prohibited under applicable law.

Prohibited items may include, without limitation:

• illegal drugs

• controlled substances transported without authorization

• explosives

• hazardous materials

• firearms where prohibited by law

• stolen property

• counterfeit goods

• biological hazards

• human remains

• cash transfers

• money laundering transactions

• fraudulent documents

• illegal wildlife products

• any item prohibited by applicable law

Users and providers are solely responsible for ensuring that all transported items comply with applicable laws and regulations.

10. No Custody or Bailment

ORO does not:

• take possession of goods
• store items
• control delivery conditions

NO BAILMENT RELATIONSHIP IS CREATED.

11. Prohibited Uses

The platform may not be used for:

• illegal goods
• hazardous materials
• weapons (unless legally authorized)
• stolen property
• any activity violating applicable law

ORO may:

• suspend accounts
• block transactions
• report to authorities

12. Accessibility and Inclusive Technology

ORO was developed with the objective of improving accessibility, communication, independence, and ease of use for a broad range of users, including older adults, individuals with disabilities, individuals with limited digital literacy, and users who may benefit from voice-based technology.

The Platform incorporates accessibility-focused features, including voice-enabled interaction systems, designed to reduce technological barriers and facilitate access to transportation, delivery, courier, and related marketplace services.

Accessibility features are intended to improve user experience and facilitate communication; however, they do not eliminate the inherent operational, physical, environmental, or transportation-related risks associated with motorcycle services.

Users remain solely responsible for evaluating whether motorcycle-related services are appropriate for their individual circumstances and abilities.

The availability of accessibility features shall not be interpreted as a guarantee of safety, suitability, accessibility compliance in every circumstance, or successful service completion.

13. Voice Technology and Artificial Intelligence Notice

The Platform utilizes voice-recognition technologies, artificial intelligence systems, automated communication tools, and accessibility-focused technologies designed to facilitate user interaction and improve accessibility.

Users acknowledge that voice-recognition systems, automated technologies, and artificial intelligence tools may be affected by environmental noise, accents, speech patterns, connectivity limitations, device functionality, language variations, technical interruptions, and other operational factors.

Accordingly, voice inputs may occasionally be misinterpreted, delayed, interrupted, or processed inaccurately.

Users remain responsible for reviewing information presented through the Platform and for verifying service requests prior to confirmation whenever reasonably possible.

To the fullest extent permitted by applicable law, ORO shall not be responsible for losses arising from inaccurate voice inputs, technical interruptions, user error, device malfunction, connectivity failures, or limitations inherent in automated technologies.

14. Safety and Emergency Limitation

Any safety-related feature, including the S.O.S. function, geolocation tools, voice-assistance technologies, emergency communication features, safety notifications, or related functionality, is provided solely as a supplemental technology tool.

Such features:

• are informational in nature

• are not emergency services

• are not public safety services

• are not law enforcement services

• are not medical services

• are not rescue services

• do not provide emergency dispatch

• do not provide emergency monitoring

• do not guarantee intervention

• do not guarantee communication with authorities

• do not guarantee emergency assistance

Users remain solely responsible for contacting official emergency services and competent authorities whenever immediate assistance may be required.

The activation of any safety-related feature does not create any duty of care, monitoring obligation, emergency response obligation, rescue obligation, or public safety responsibility on the part of ORO Technologies LLC.

15. Safety Recommendations

For their own safety, users are encouraged to:

• verify the identity of the assigned provider

• verify vehicle information when available

• wear legally required safety equipment

• comply with local traffic laws

• use designated meeting points whenever possible

• remain attentive to their surroundings

• maintain direct communication with the assigned provider through approved Platform communication tools

These recommendations are provided for informational purposes only and do not create any duty, guarantee, warranty, or obligation on the part of ORO Technologies LLC.

16. Insurance Disclaimer

ORO does not provide insurance for:

• passengers
• drivers
• goods
• vehicles

All parties must independently maintain:

adequate insurance coverage

17. Vehicle Condition Disclaimer

ORO does not inspect, certify, maintain, repair, supervise, or monitor motorcycles utilized by independent providers.

Any verification processes conducted through the Platform are limited in scope and should not be interpreted as mechanical inspections, safety certifications, roadworthiness determinations, or guarantees regarding vehicle condition.

Users acknowledge that responsibility for vehicle maintenance, inspections, legal compliance, safety equipment, and operational condition remains solely with the independent provider.

17. Payments and Financial Role

ORO may act as a:

limited payment collection agent

ORO:

• does not guarantee service performance
• may delay or block transactions
• may reverse payments where legally required

18. Platform Role and Limitation of Control

ORO:

• does not supervise services
• does not control execution
• does not guarantee quality or safety

 The platform is a neutral digital intermediary only.

Independent Decision-Making

Users and independent providers retain complete discretion regarding whether to request, accept, reject, continue, modify, suspend, or terminate any motorcycle-related service.

ORO does not direct, instruct, supervise, control, mandate, or require the acceptance or completion of any service request.

All operational decisions remain exclusively with the participating users and independent providers.

19. Limitation of Liability

To the maximum extent permitted by law, ORO shall not be liable for:

• personal injury or death
• loss or damage of goods
• service delays or failures
• acts or omissions of providers

TOTAL LIABILITY IS LIMITED TO AMOUNTS PAID IN THE LAST THREE (3) MONTHS.

20. Indemnification

Users and providers agree to:

 defend, indemnify, and hold harmless ORO

from any claims arising from:

• use of motorcycle services
• legal violations
• injuries or damages
• misuse of the platform

21. Account Enforcement

ORO may:

• suspend or terminate accounts
• restrict features
• remove users or providers

at its sole discretion for:

• safety risks
• fraud
• regulatory concerns

22. Cross-Border Operations

Users acknowledge that:

• services may involve cross-border data processing
• legal protections vary by country

Use of the platform implies consent to:

international data transfer

23. Dispute Resolution and Governing Law

All disputes shall be governed by:

• binding arbitration
• applicable international and local law

Where applicable:

• U.S. Federal Arbitration Act (FAA)
• laws of the State of Florida

24. Integration with Terms of Service

These Motorcycle Terms:

 form an integral part of the ORO Terms of Service

In case of conflict:

 the main Terms prevail

This United States Annex supplements, and must be read together with, the Global Motorcycle Services Framework, the ORO Terms of Service, the Privacy Policy, the Safety Framework, and all other applicable Platform documentation.

Unless expressly stated otherwise, all provisions contained in the Global Motorcycle Services Framework remain fully applicable to users and independent providers operating within the United States.

In the event of any conflict between this Annex and the Global Motorcycle Services Framework, the provision that affords the greatest protection to ORO Technologies LLC shall apply to the maximum extent permitted by law.

1. Nature of the Service

The ORO platform, operated by Oro Technologies LLC (“ORO”), is a digital technology service that facilitates connections between independent motorcycle operators (“Independent Providers”) and users requesting transportation and/or light courier services.

ORO IS SOLELY A TECHNOLOGY PLATFORM.

ORO:

• does not provide transportation services
• does not own, lease, or operate vehicles
• does not employ drivers or riders
• does not act as a carrier, transport operator, or logistics provider

All transportation services are performed exclusively by Independent Providers acting under their own legal responsibility.

No relationship of:

• employment
• agency
• partnership
• joint venture

is created under any circumstances.

2. Regulatory Compliance Disclaimer (Jurisdictional Variability)

Motorcycle passenger transportation and related services are subject to complex and highly variable regulatory frameworks across jurisdictions within the United States.

Certain states, counties, or municipalities may:

• restrict
• regulate
• condition
• or prohibit

motorcycle passenger transport services.

The availability of any service through the ORO platform:

DOES NOT constitute legal authorization, licensing, or regulatory approval in any jurisdiction.

Users and Independent Providers are solely responsible for:

• verifying legal permissibility
• complying with all applicable laws
• obtaining required licenses, permits, and authorizations

ORO:

• does not determine legal status of services
• does not verify regulatory compliance in real time
• does not provide legal advice

3. Independent Provider Requirements

Independent Providers must comply with all applicable laws and regulatory requirements, including but not limited to:

• valid motorcycle driver’s license with appropriate endorsements
• legally required insurance coverage (including passenger liability where applicable)
• valid vehicle registration and lawful authorization to operate
• compliance with all traffic, transport, and safety laws
• use of legally required protective equipment (e.g., helmets, safety gear)
• compliance with platform safety and verification standards

ORO may request documentation solely for:

identity verification
fraud prevention
platform integrity

However:

ORO does not guarantee the authenticity, validity, or ongoing compliance of such documentation.

4. Safety and High-Risk Activity Disclosure

Voluntary Assumption of Risk

Users voluntarily elect to utilize motorcycle transportation services despite the known and inherent risks associated with motorcycle travel.

By requesting, accepting, or participating in motorcycle transportation services, users knowingly and voluntarily assume all risks, whether known, unknown, foreseeable, or unforeseeable, to the fullest extent permitted by applicable law.

Motorcycle transportation involves inherently elevated risks compared to other forms of transport.

These risks include, but are not limited to:

• increased exposure to traffic hazards
• weather conditions
• road surface variability
• limited physical protection
• higher probability of serious injury

By using the Platform for motorcycle services, users expressly:

 acknowledge
understand
accept

these elevated risks.

Users are solely responsible for:

• wearing appropriate safety equipment
• assessing personal health and physical ability
• determining suitability of motorcycle transport

5. Accessibility and Inclusion Disclaimer

The ORO platform is designed to promote accessibility and inclusion, including for:

• older adults
• individuals with disabilities

However:

 motorcycle transport may not be suitable for all users.

ORO:

• does not assess user fitness for motorcycle transport
• does not provide assisted transport services
• does not guarantee accessibility compatibility

All decisions to use motorcycle services are made:

 voluntarily
at the user’s own risk

6. Limitation of Responsibility (Platform Role)

To the maximum extent permitted by law:

ORO Technologies LLC:

• does not operate, manage, or control transportation services
• does not supervise Independent Providers
• does not guarantee safety, legality, or quality of services
• does not assume responsibility for accidents, injuries, or damages

The Platform operates solely as a:

 neutral digital intermediary

All interactions between users and providers are:

• direct
• independent
• voluntary

7. Risk Allocation

All services performed through the Platform are executed independently by third-party providers.

Users and Independent Providers expressly agree that:

all risks associated with motorcycle transportation are assumed by them

including, but not limited to:

• personal injury or death
• property damage
• third-party conduct
• regulatory violations

This allocation of risk applies to the maximum extent permitted by law.

8. Insurance Disclaimer

ORO does not provide insurance coverage for:

• users
• drivers
• vehicles
• transported goods

Any insurance coverage must be:

independently obtained and maintained by the provider and/or user

ORO does not verify adequacy, scope, or validity of insurance policies.

9. Limitation of Liability

To the fullest extent permitted by law, ORO shall not be liable for:

• direct, indirect, incidental, or consequential damages
• personal injury or death
• loss of profits, data, or property
• acts or omissions of Independent Providers
• regulatory or legal violations

 TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID THROUGH THE PLATFORM IN THE LAST THREE (3) MONTHS.

10. Indemnification

Users and Independent Providers agree to:

 fully defend, indemnify, and hold harmless ORO Technologies LLC

from and against any:

• claims
• liabilities
• damages
• legal actions
• regulatory penalties

arising out of or related to:

• use of motorcycle transport services
• violation of laws
• personal injury or damages
• breach of these Terms

11. Platform Integrity and Enforcement

ORO reserves the right to:

• suspend or terminate accounts
• restrict access to services
• remove providers or users

at its sole discretion, including for:

• safety concerns
• suspected fraud
• regulatory risk

12. Legal Jurisdiction and Arbitration

This section shall be governed by and interpreted in accordance with:

 the Arbitration and Dispute Resolution Clause contained in the main Terms of Service

and subject to:

 the Federal Arbitration Act (FAA)

All disputes shall be resolved:

• on an individual basis only
• through binding arbitration

To the extent arbitration is not applicable:

• governing law shall be the laws of the State of Florida
• applicable United States federal law shall apply

13. Integration with Terms of Service

This section forms an integral part of the ORO Terms of Service.

In case of conflict:

 the Terms of Service shall prevail.

The ORO platform, operated by Oro Technologies LLC (“ORO”), functions exclusively as a digital technology marketplace that connects independent delivery providers (“Independent Providers”) with users requesting logistics or courier services.

 ORO IS A TECHNOLOGY PLATFORM ONLY.

ORO:

• does not operate delivery services
• does not own, lease, or manage vehicles
• does not employ drivers or couriers
• does not act as a carrier, freight forwarder, logistics operator, or warehouse provider

All delivery services are performed exclusively by Independent Providers acting under their own legal and operational responsibility.

No relationship of:

• employment
• agency
• partnership
• joint venture

is created under any circumstances.

2. Regulatory Framework

Motorcycle-based delivery and courier services are subject to multiple layers of regulation, which may include, without limitation:

• federal transportation and safety regulations
• state motor vehicle laws (including, where applicable, statutes such as Florida Statutes Chapter 316)
• municipal traffic and commercial delivery ordinances
• vehicle safety and equipment standards
• commercial activity licensing requirements

Regulatory requirements vary significantly by jurisdiction.

 Availability of services through the Platform does NOT constitute legal authorization in any specific jurisdiction.

Users and Independent Providers are solely responsible for:

• verifying legal permissibility
• complying with all applicable laws and regulations
• obtaining required permits, licenses, and authorizations

ORO:

• does not determine legal compliance status
• does not guarantee regulatory validity of any activity
• does not provide legal advice

3. Permitted Use Cases (Subject to Law)

Where legally permitted, motorcycles may be used for:

• express courier and document delivery
• food and beverage delivery services
• e-commerce and retail logistics
• pharmacy and on-demand delivery services
• last-mile logistics and time-sensitive deliveries
• other lawful commercial logistics activities

 All use cases remain subject to applicable legal restrictions in each jurisdiction.

4. Independent Provider Requirements

Independent Providers must comply with all applicable legal and operational requirements, including but not limited to:

• valid motorcycle license with appropriate endorsement
• valid vehicle registration and lawful authorization to operate
• mandatory insurance coverage as required by applicable law
• compliance with all safety equipment requirements (including helmets and protective gear)
• compliance with all traffic, transport, and commercial delivery regulations
• prohibition on transporting illegal, hazardous, dangerous, or restricted goods

Independent Providers are solely responsible for:

• the condition of their vehicle
• the legality of transported goods
• compliance with all regulatory obligations

ORO may request documentation solely for:

 identity verification
fraud prevention
platform integrity

However:

 ORO does not guarantee the authenticity, validity, or ongoing compliance of such documentation.

Failure to comply may result in:

• suspension
• restriction
• permanent removal from the Platform

5. Platform Role and Limitation of Control

ORO Technologies LLC does not supervise, direct, or control the performance of delivery services.

ORO does not:

• assign routes
• manage delivery execution
• control pricing outside platform parameters
• monitor real-time operational compliance

All services are performed independently by third-party providers.

 The Platform operates solely as a neutral digital intermediary facilitating connections.

6. Goods Handling and No Bailment Relationship

ORO does not take possession, custody, or control of any goods at any time.

 NO BAILMENT RELATIONSHIP IS CREATED.

ORO:

• does not store goods
• does not guarantee delivery conditions
• does not ensure integrity, safety, or legality of items

All goods are handled exclusively by Independent Providers at their own risk and responsibility.

7. Prohibited Items and Compliance

Users and Independent Providers agree not to use the Platform for transportation of:

• illegal substances
• hazardous materials
• weapons or regulated items (unless legally permitted)
• stolen goods
• any item prohibited by applicable law

ORO reserves the right to:

• block transactions
• report suspicious activity
• cooperate with law enforcement authorities

8. Risk and Liability Allocation

Users acknowledge that delivery services involve inherent operational risks, including but not limited to:

• delays
• loss or theft
• damage to goods
• third-party conduct
• traffic and environmental conditions

To the maximum extent permitted by law:

 ORO is not liable for:

• delays in delivery
• lost, stolen, or damaged goods
• provider misconduct or negligence
• regulatory violations by third parties

All risks associated with delivery execution are assumed by:

 the user and the Independent Provider

9. Insurance Disclaimer

ORO does not provide insurance coverage for:

• goods in transit
• delivery providers
• vehicles
• third-party liability

Independent Providers and users are solely responsible for:

 obtaining and maintaining adequate insurance coverage

ORO does not verify:

• coverage validity
• policy scope
• claim eligibility

10. Financial Transactions and Payment Role

ORO may act solely as a:

 limited payment collection agent

Payments processed through the Platform:

• do not create fiduciary responsibility
• do not guarantee service performance
• are subject to fraud detection and risk controls

ORO reserves the right to:

• delay or block transactions
• reverse payments where legally required
• investigate suspicious activity

11. Limitation of Liability

To the fullest extent permitted by law, ORO shall not be liable for:

• direct, indirect, incidental, or consequential damages
• loss of profits, revenue, or business
• loss, damage, or delay of goods
• actions or omissions of Independent Providers

 TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID THROUGH THE PLATFORM IN THE LAST THREE (3) MONTHS.

12. Indemnification

Users and Independent Providers agree to:

 defend, indemnify, and hold harmless ORO Technologies LLC

from and against any:

• claims
• damages
• liabilities
• losses
• legal costs and expenses

arising from:

• delivery activities
• violation of laws
• transport of prohibited goods
• breach of these Terms

The Platform integrates voice-based interaction technologies designed to improve accessibility for:

• older adults
• individuals with disabilities

However:

• voice commands may be misinterpreted, delayed, or not executed
• environmental and technical factors may affect performance

ORO shall not be liable for:

• errors in voice recognition
• unintended delivery requests
• incorrect service execution resulting from voice input

14. Legal Compliance Statement

All parties are required to comply with:

• applicable federal laws
• state regulations
• local ordinances

governing:

• transportation
• logistics
• safety
• commercial delivery operations

15. Legal Jurisdiction and Arbitration

This section is subject to and shall be interpreted in accordance with:

 the Arbitration and Dispute Resolution Clause contained in the main Terms of Service

and governed by:

 the Federal Arbitration Act (FAA)

All disputes shall be resolved:

• through binding arbitration
• on an individual basis only

To the extent arbitration is not applicable:

• governing law shall be the laws of the State of Florida
• applicable United States federal law shall apply

16. Integration with Terms of Service

This section forms an integral part of the ORO Terms of Service.

In case of any conflict:

 the Terms of Service shall prevail.

IMPORTANT NOTICE

This United States Annex supplements, and must be read together with, the Global Motorcycle Services Framework, the ORO Terms of Service, the Privacy Policy, the Safety Framework, and all other applicable Platform documentation.

Unless expressly stated otherwise, all provisions contained in the Global Motorcycle Services Framework remain fully applicable to users and independent providers operating within the United States.

In the event of any conflict between this Annex and the Global Motorcycle Services Framework, the provision that affords the greatest protection to ORO Technologies LLC shall apply to the maximum extent permitted by law.

1. Purpose of the S.O.S. Feature

The ORO platform, operated by Oro Technologies LLC (“ORO”), provides an in-app S.O.S. feature designed as a digital safety communication and alert tool, aimed to assist users—including older adults and individuals with disabilities—in rapidly transmitting location and account information during self-reported emergency situations.

The S.O.S. feature does not constitute an emergency dispatch, medical service, security service, or law enforcement agency.

ORO functions solely as a neutral technology intermediary, facilitating communication between users and available emergency response channels.

ORO does not monitor emergencies in real time, does not verify the existence of emergencies, does not dispatch emergency responders, and does not assume any duty to intervene, investigate, assess, monitor, supervise, or manage emergency situations.

2. Functionality of the S.O.S. System

When activated by the user, the system may transmit selected information, which may include, without limitation:

• Real-time GPS location data
• User account identification information
• Trip or service context details (if applicable)
• Device, session, and route metadata relevant to the active emergency alert

All transmitted data is solely intended to support communication, monitoring, and coordination, and does not create any obligation on ORO to provide emergency, medical, or security services.

3. Response Mechanism

Upon activation:

  1. The system may provide emergency guidance instructions to the user.

  2. Quick access may be offered to local emergency numbers (e.g., 911 in the United States).

  3. Internal support personnel may receive informational notifications for monitoring purposes only.

ORO does not operate, control, dispatch, or guarantee any emergency response, medical intervention, or law enforcement action.

Users retain sole responsibility for contacting emergency services and for any decisions taken during emergency situations.

4. Geographic Availability

The S.O.S. feature may be operational in selected regions, including but not limited to Florida, California, and Texas.

Availability is subject to:

• Technical constraints
• Network coverage
• Regulatory permissions

Feature availability does not guarantee functionality in all locations or under all conditions.

5. Limitation of Emergency Liability

To the maximum extent permitted by law, ORO:

• does not provide emergency, medical, or security services
• does not guarantee immediate response or intervention
• is not responsible for the actions, omissions, or response times of third-party authorities or service providers
• is not liable for technical failures, connectivity issues, or system delays affecting performance

Users acknowledge that the S.O.S. feature is an auxiliary communication tool only.

6. Misuse and System Integrity

ORO reserves the right to restrict, suspend, or disable access to the S.O.S. feature in cases of:

• intentional or repeated false activations
• misuse contrary to platform policies
• activities that compromise system integrity, security, or safety

Such actions may include temporary suspension of the user account or permanent revocation of feature access.

7. Data Protection, Privacy, and Security

All data processed through the S.O.S. system is handled in compliance with U.S. federal and state privacy laws, including but not limited to:

• California Consumer Privacy Act (CCPA) & CPRA
• Florida Information Protection Act (FIPA)
• Applicable Texas privacy regulations

ORO implements industry-standard encryption and security measures to protect user data in transit and at rest.

8. Platform Role Disclaimer

ORO acts solely as a technology platform and does not operate as an emergency service provider, dispatcher, public safety authority, or medical service provider.

The S.O.S. feature is intended exclusively to facilitate information transmission and support user communication with appropriate channels.

No agency, employment, or fiduciary relationship is created between ORO, emergency responders, or third-party authorities.

9. Accessibility and Voice Technology

ORO’s S.O.S. feature is fully integrated with voice-command technology, designed to enhance accessibility for:

• older adults
• individuals with physical or cognitive disabilities

Limitations of voice-based interaction may include:

• misinterpretation of commands
• delayed execution due to network conditions or environmental noise
• incorrect activation or non-activation of emergency alerts

ORO shall not be liable for any errors, omissions, or delays resulting from voice input, or for consequences arising from such miscommunications.

10. Risk and Liability Allocation

By using the S.O.S. feature, users agree and acknowledge:

• inherent risks in emergency situations
• ORO assumes no responsibility for outcomes of emergency actions
• all risk is borne exclusively by the user, including consequences from contacting or failing to contact emergency services

Maximum liability of ORO for any claim related to the S.O.S. feature is strictly limited to amounts paid by the user for platform services in the preceding three (3) months.

11. Indemnification

Users agree to indemnify, defend, and hold harmless ORO Technologies LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or legal expenses arising from:

• misuse of the S.O.S. feature
• failure to comply with applicable laws
• reliance on emergency guidance provided by the system
• technical errors, false alerts, or misuse of voice commands

12. Legal Jurisdiction and Dispute Resolution

This section is governed by:

• Arbitration and Dispute Resolution Clause in ORO Terms of Service
• Federal Arbitration Act (FAA)

All disputes shall be resolved through binding individual arbitration, unless otherwise required by law.

If arbitration is not enforceable, the governing law shall be:

• State of Florida law
• Applicable United States federal law

13. Integration with Platform Terms

This S.O.S. feature legal framework is integral to the ORO Terms of Service.

In the event of any conflict, the Terms of Service prevail.
