ORO TECHNOLOGIES LLC

This document constitutes a specific service annex (the “Annex”) and forms an integral part of the Global Terms & Conditions of Oro Technologies LLC.

In the event of a conflict, the Global Terms & Conditions shall prevail.

1. NATURE OF THE PLATFORM

Oro Technologies LLC (“Oro”) provides a technology platform that enables users to connect with independent third-party service providers.

Oro:

👉 does not provide transportation services
👉 does not operate as a carrier, transport company, or logistics provider
👉 does not own, operate, or control any vehicles

The User expressly acknowledges that:

👉 all services are provided by independent third-party providers
👉 Oro acts solely as a technology intermediary

2. ACCEPTANCE OF TERMS

By accessing or using the Platform, the User agrees to be legally bound by this Agreement.

If the User does not agree:

👉 they must immediately cease using the Platform

Continued use constitutes full acceptance.

3. ELIGIBILITY

The User represents that:

👉 they have legal capacity to enter into contracts
👉 all information provided is accurate

If the User acts on behalf of another person:

👉 they assume full responsibility for such use

4. INCLUSIVE VOICE-BASED TECHNOLOGY

Voice commands constitute user-generated instructions and shall be deemed legally valid and binding upon execution within the Platform, regardless of transcription accuracy, interpretation variance, or technological distortion, to the maximum extent permitted by applicable law.

The Platform operates primarily through voice-based interaction, designed to serve:

👉 elderly users
👉 persons with disabilities

The User acknowledges:

👉 voice recognition may not be 100% accurate
👉 environmental factors may affect performance
👉 misinterpretations may occur

Accordingly:

👉 the User assumes responsibility for verifying requests
👉 Oro does not guarantee accuracy of voice commands

5. USE OF THE PLATFORM

The User agrees to:

👉 use the Platform lawfully
👉 provide truthful information
👉 not engage in abuse, fraud, or misuse

Strictly prohibited:

👉 false requests
👉 harassment of providers
👉 misuse of accessibility features
👉 manipulation of the system

Oro may:

👉 suspend or terminate accounts immediately
👉 block access without prior notice

6. THIRD-PARTY SERVICES

All services are provided by independent Providers.

The User acknowledges that:

👉 Providers are not employees of Oro
👉 no employment or agency relationship exists

Providers operate independently and are solely responsible for the execution, quality, legality, and safety of the services they provide.

Oro:

👉 does not control Providers
👉 does not supervise service execution

7. USER RESPONSIBILITY

The User assumes full responsibility for:

👉 interactions with Providers
👉 personal safety decisions
👉 verifying identity and conditions of service

The User agrees:

👉 to act prudently at all times
👉 to comply with applicable laws

8. SAFETY FEATURES DISCLAIMER

Safety and emergency features operate exclusively as auxiliary technological communication tools and are routed to independent third-party security providers. ORO does not operate as an emergency response entity, law enforcement agency, or public safety authority, and does not control or guarantee the actions, response time, or effectiveness of any third-party security provider or governmental authority.

9. PAYMENTS AND PRICING

The User agrees that:

👉 prices are dynamically calculated
👉 charges may vary based on conditions

All payments:

👉 are processed through the Platform or authorized third parties

The User authorizes:

👉 automatic charges
👉 applicable fees and adjustments

All payments are:

👉 final and non-refundable unless required by law

10. AUTOMATED DECISION-MAKING

The Platform uses algorithmic systems.

The User agrees that:

👉 access may be restricted or terminated
👉 decisions may occur automatically
👉 no prior notice is required

Oro is not obligated to explain such decisions unless required by law.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Oro’s total liability shall be limited to the amount paid by the User in the thirty (30) days preceding the claim.

If no payments have been made, liability shall be limited to the maximum extent permitted by applicable law.

12. EXCLUSION OF LIABILITY FOR SERVICES

Oro shall not be liable for:

👉 acts or omissions of Providers
👉 transportation services
👉 accidents, injuries, or damages
👉 loss of property
👉 personal harm

All claims must be directed exclusively against the Provider.

12-A. NO DUTY OF CARE

To the maximum extent permitted by applicable law, ORO Technologies LLC does not assume any duty of care, fiduciary obligation, or supervisory responsibility toward Users, Providers, or any third party. The Platform functions strictly as a technological intermediary and does not exercise operational control over transportation, safety execution, or third-party conduct.

13. EXCLUSION OF DAMAGES

Under no circumstances shall Oro be liable for:

👉 punitive damages
👉 exemplary damages
👉 loss of business opportunities
👉 reputational damage
👉 indirect or consequential damages

even if Oro has been advised of the possibility of such damages.

14. USER INDEMNIFICATION

The User agrees to indemnify and hold harmless Oro from:

👉 claims
👉 damages
👉 legal actions

arising from:

👉 misuse of the Platform
👉 violation of this Agreement
👉 interactions with Providers

This includes:

👉 legal fees
👉 settlements
👉 penalties

15. DATA AND PRIVACY

The User authorizes Oro to:

👉 collect personal data
👉 process voice recordings
👉 store location data
👉 share information with authorized parties

Data is processed in accordance with applicable laws.

The User acknowledges:

👉 data transmission is not risk-free
👉 Oro does not guarantee absolute security

16. INTELLECTUAL PROPERTY

All rights related to the Platform belong exclusively to Oro.

The User shall not:

👉 copy
👉 modify
👉 distribute
👉 reverse engineer

any part of the Platform.

17. PLATFORM AVAILABILITY

The Platform is provided “AS IS” and “AS AVAILABLE”.

Oro does not guarantee:

👉 uninterrupted operation
👉 error-free performance
👉 continuous availability

18. TERMINATION

Oro may:

👉 suspend or terminate access at any time
👉 act without prior notice
👉 enforce security or compliance measures

19. GOVERNING LAW AND GLOBAL STRUCTURE

This Agreement shall be governed by the laws of the State of Florida, United States.

However:

👉 local laws may apply where required
👉 regulatory matters may be subject to local authorities

20. ARBITRATION AND WAIVER

All disputes shall be resolved through binding arbitration.

The User waives:

👉 court proceedings
👉 jury trials
👉 class actions

21. APPLE / GOOGLE COMPLIANCE

The User acknowledges that:

👉 Apple Inc. and Google LLC are not parties to this Agreement
👉 they are not responsible for the Platform

They:

👉 provide no warranties
👉 assume no liability

22. ACCESSIBILITY DISCLAIMER

While Oro is designed for accessibility:

👉 it does not guarantee universal usability
👉 it does not replace assistive medical devices
👉 it does not eliminate all barriers

The User assumes responsibility for:

👉 assessing suitability
👉 using the Platform safely

23. FORCE MAJEURE

Oro shall not be liable for failures caused by:

👉 natural disasters
👉 system failures
👉 cyberattacks
👉 governmental actions

24. FINAL LEGAL NOTICE

This Agreement is drafted for a global commercial environment.

In case of translation:

👉 the English version shall prevail

The User agrees that:

👉 this Agreement shall be interpreted to ensure enforceability
👉 any ambiguity shall not be interpreted against Oro Technologies LLC

GLOBAL LEGAL INTEGRATION NOTICE

These Terms form part of the unified global legal framework governing the ORO Marketplace Platform, including the Privacy Policy, Accessibility & Voice Policy, Community Guidelines, Safety Framework, Refund Policy, and all related legal disclosures published by Oro Technologies LLC.

Continued access to or use of the Platform constitutes legally binding acceptance of all applicable policies and future updates.
